Herman Fourie (41) Commercial Director (Incl. MIIS and IT)(App. August/December 2007) CA (SA)

Herman qualified as a Chartered Accountant in 1998, whilst at KPMG. He has 14 years’ experience at executive and board level of various companies, including a listed company and 8 years with leading international South African based contract mining companies, Shaft Sinkers and before that Master Drilling. For the five years prior to joining the enlarged Buildmax as Group Financial Director, he was the Financial Director of Shaft Sinkers. He stepped down as Group Financial Director of Buildmax in 2010 to focus on Buildmax Mining Services.

At each of his previous companies, including Master Drilling, Shaft Sinkers and Buildmax/Diesel Power, Herman had to evaluate unique financial- and business system requirements and then designed (with line management) and managed the implementation of appropriate, cost effective solutions, in an environment where the businesses were either operating under financial constraints or were growing rapidly without having basic systems, controls and reporting in place.

Hilgardt Cloete (37) General Manager: IT, Networks and Communication Services and Infrastructure(App. April 2012)

Hilgardt started his IT career 17 years ago in Europe, contracting and consulting globally to companies such as Glaxo Wellcome, Bank of Tokyo-Mitsubishi, Merck, London Stock Exchange, Hewlett Packard and Ford. In this period, Hilgardt worked in 26 countries and 43 cities globally across most business sectors. Before joining Diesel Power/Buildmax, Hilgardt was the Head of Technical Enterprise Architecture for Britehouse (Dimension Data's Specialist SAP Division), focusing on Communications, Infrastructure and Cloud Application alignment. Whilst at Britehouse, Hilgardt consulted as Enterprise Strategist to various major companies such as Sasol, Mittal, Anglo, City of Tshwane, Engen, MultiChoice, Naspers and PPC. Previously, Hilgardt was contracted in the role of Global Enterprise Architect for 4 years at Sasol, responsible for all new IT infrastructure and communication infrastructure when Sasol ventured into in the Middle East, Europe, Asia Pacific and Far East. Effective from 1 April 2012, Hilgardt has been appointed as General Manager of IT, Networks and Communication Services and Infrastructure at Diesel Power/Buildmax and prior to this, he consulted to the Buildmax group for a 14 month period in the same role.

Mark Muller (51) M.I.I.S. Manager - Microsoft Dynamics GP(App. July 2009) B.Com Accounting with Articles

Mark completed his B.Com Accounting degree and articles in 1985 and worked for a further 10 years as an accountant in various companies including Checkers Meat Markets and Kanhym. In 1996 he changed careers and moved into the IT environment and became a Microsoft Dynamics GP consultant. He worked for Computer Initiatives for 11 years and the I5 group for almost 3 years as a GP consultant installing and supporting Microsoft Dynamics GP for many companies such as Shaft Sinkers, Copy-Type Electronics, Gold Fields Head Office, Ethos Private Equity, Buildmax Group and many others. In July 2009 he joined the Buildmax group to support/enhance Microsoft Dynamics GP in-house and to implement the accounting system throughout the group.

DP IT - Background

Over the past 3-5 years, Diesel Power’s IT Department - whilst having to solve key operational requirements with which a typical industry operator like ourselves are generally faced with in South Africa - managed to create cost effective and reliable IT-, Networks and

Communication (“IT”) solutions, considered to be niche solutions in the regions and industries in which we operate.

These IT systems and underlying installed infrastructure, enables our group to deploy various vendor-supplied and/or internally developed Management Information and Internal Control Systems (“MIIS”) and to generally enhance the way we control, manage and report on our business at its various levels of management in its various divisions and departments on a daily basis.

Diesel Power IT invested in significant owned- or specialised contracted infrastructure, with current cost effective service coverage across central Gauteng, Mpumalanga and North-West. In addition, Diesel Power IT currently employs a well balanced team of suitably experienced and highly qualified IT executives, managers and staff - who are able, as a team, to meet the growing IT requirements of our current group.

DP Integrated Technologies (Pty) Ltd” (“DP IT”) provides a specified range of niche IT services and solutions to a specified range of third party customers.

Based on our installed, reliable and quality IT infrastructure and our cost effective IT service coverage across central Gauteng, Mpumalanga and North-West, Diesel Power IT is in an ideal position to offer certain niche IT, Networks and Communication services to third party

customers in our industries, as well as in the geographical areas in which we operate.

It is envisaged that, at appropriate later stages, the portfolio of services of DP IT offered to our customers will increase in line with future unique services introduced and offered by DP IT to our own growing group.

Our abilities to provide this specified range of niche IT services and solutions to a specified range of third party customers, is under-pinned by the abilities of our well balanced team of suitably experienced and highly qualified IT executives, managers and staff

Since establishment, Diesel Power’s management - whilst having to solve key operational system requirements with which a typical industry operator like ourselves are generally faced with - whilst having to operate simultaneously and efficiently at a range of various short- or longer term contract sites - managed to internally develop cost effective and reliable

Management Information and Internal Control Systems (“MIIS”).

We are able to host these unique and fully integrated MIIS solutions at all our sites, because we have our own, unique, cost effective and reliable IT-, Networks and Communication (“IT”) solutions (also considered to be niche solutions in the regions and industries in which we operate).

Our fully integrated MIIS solution, functioning as a whole - especially certain key, in-house developed components thereof, such as our IMS and NCIMS - are absolutely unique and

enables us to have real-time Internal control, management information and disciplines which are unsurpassed (considering cost and efficiencies) in the industries in which we operate. Our MIIS enables our group to generally enhance the way we control, manage and report on our business at its various levels of management in its various divisions and departments on a daily basis.

In addition, Diesel Power MIIS currently employs a suitable team of industry experienced and highly qualified MIIS executives, managers and staff - who are able, as a team, to solve any future MIIS requirements of our current group and industries.

position to offer certain niche MIIS systems, services and solutions to third party customers in our industries, as well as in the geographical areas in which we operate.

It is envisaged that, at appropriate later stages, the portfolio of systems and solutions of DP IMS offered to our customers, will increase in line with future unique systems and solutions introduced and offered to our own growing group.

DP IMS is also able, through our experienced team of highly qualified MIIS executives, managers and staff, to provide managed solutions to our customers where we manage certain agreed areas (i.e. certain SHECQ services outsourced on a cost effective basis by the customer to DP IMS) of our customer’s business, by introducing our MIIS systems and MIIS-based solutions at the customer and then manage these areas on behalf of Customers. Our abilities to provide this range of unique MIIS systems, services and solutions to a
