Executive Summary:

The FY2015-2016 Capital Improvement Program provides $120,000 within Account

90.91.95.415.815.05, Infrastructure Capital Projects- Improvements Other than Building

to complete an IDOT Phase I Engineering Study to improve the intersection of North

Seventh Street and IL RT 38. Attached for your review is a proposal from the V3

Companies to perform this task in the amount of $84,458.72.

Staff has met with developers interested in developing the parcel bordered between IL

RT 38 to Peyton and from Richards to the City owned land

west of the Havlicek Ace

Hardware. The developer had secured the services of the V3 Companies to perform

certain civil improvements associated with this project. Their background and continued

association with the project will reduce costs to the City by limiting redundancy

throughout the design study phase. Due to this economic advantage, staff did not solicit

proposals from additional engineering firms.

Finally, by performing this study in

advance, the City will be eligible to apply for future grant opportunities with state or

federal sources.

RESOLUTION AUTHORIZING EXECUTION OF

The North Seventh Street Intersection Phase I Engineering Services Agreement To V3 Companies

BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GENEVA,

KANE COUNTY, ILLINOIS, as follows:

SECTION 1: That the City Administrator is hereby authorized to execute, on

behalf of the City of Geneva, the North Seventh Street Intersection Phase I Engineering Services Agreement, attached hereto as Exhibit “A”, relating to the conducting an IDOT Phase I Intersection Improvement Design Study for said intersection.

SECTION 2: This Resolution shall become effective from and after its passage as in accordance with law.

Intersection Improvements Preliminary Engineering Phase I City of Geneva

Dear Mr. Babica:

On behalf of V3 Companies, we are pleased to submit this proposal for Civil Engineering services on the above-referenced project. If you find this proposal to be acceptable, the executed copies of this letter, together with the General Terms and Conditions attached hereto which sets forth the contractual elements of this agreement, will constitute an agreement between the City of Geneva (CLIENT) and V3 Companies (ENGINEER) for services on this project.

Project Understanding

We understand that the City of Geneva desires to hire an engineering consultant to perform preliminary engineering studies, in accordance with Illinois Department of Transportation (IDOT) and Federal Highway Administration (FHWA) requirements, for an intersection improvement to Seventh Street and West State Street to add a fourth leg to the intersection. We also understanding that Marquette Companies is proposing a multifamily residential development with a retail pad at the northwest corner of 7th Street and State Street/IL 38. A Traffic Impact Study (TIS) has been completed by others that proposes to add a north leg to the existing three-leg intersection of 7th Street and State Street and widen the west leg of the intersection to add an eastbound left turn lane.

Based on our meeting with City of Geneva staff on August 20, 2015, the City will pursue a CMAQ or STP funding for the construction costs associated with the intersection improvements at 7th Street and State Street. It is our understanding that V3 will work with City staff on the compilation and submittal of a Phase 1 engineering study in accordance to FHWA and IDOT requirements. It is assumed that this project will be processed as a Categorical Exclusion II (CE II) through IDOT Bureau of Local Roads. BLR Form 22210 with the required attachments will be prepared. Based on IDOT’s drainage documentation, we assume that only a Drainage memorandum will be required (not a Location Drainage Study) since this is a relatively minor intersection improvement.

The anticipated limits of this study are show on Attachment 1.

Scope of Services

See Attachment II

Compensation

V3 shall be compensated for their services a fee amount, on a cost plus fixed fee basis, not to exceed $84,459. The details of the proposed fee are included on Attachment III

V3 shall be compensated for reimbursable expenses such as printing, postage, messenger service, travel, and other similar project-related items. These costs are included in the above fee amount.

Any Additional Services not outlined in the defined scope of services, including Project Meetings of V3 principals and employees engaged directly on the Project, shall be compensated as Additional Services based on the actual hours expended multiplied by V3’s 2015 Billing Rate Schedule, attached hereto, plus direct expenses.

Miscellaneous Contractual Items

V3 will initiate its services promptly upon receipt of the CLIENT’s acceptance of this proposal, and will endeavor to complete the Preliminary engineering studies and obtain Design Approval (D/A) from IDOT within 18 months after notice to proceed.

If there are protracted delays for reasons beyond V3’s control, an equitable adjustment of the above-noted compensation shall be negotiated, taking into consideration the impact of such delay on the pay scales applicable to the period when V3’s services are, in fact, being rendered. This agreement, together with the General Terms and Conditions represents the entire understanding between CLIENT and ENGINEER. If the terms of this agreement are found to be satisfactory, please sign this agreement in duplicate in the space provided below and return one copy to our office.

I. Collection, Compilation, Review and Evaluation of Data Base

Complete and submit to required agencies, Form BDE 2126, Project Notification and Review Collect the following information from available sources

- Land Use - Zoning - School Districts - Park Districts - Fire Districts - Sanitary Districts - Counties

- Traffic Counts (anticipated to be provided by IDOT)

Obtain, Review and Analyze Data from the City of Geneva & IDOT - Traffic Data

- Traffic projections ( by CMAP) - Soils

- Geological Information - Existing R.O.W. - Utility Plans

The City will provide information related to existing utilities, including but not limited to storm sewer, sanitary sewer, traffic signal plans including any interconnect systems within the area, recent and pending proposed developments in the project vicinity, prior studies, and information related to any proposed improvements.

V3 will contact and coordinate with the known private utilities (NICOR, AT&T, Comcast, etc.) to obtain existing plans of their facilities within the project limits. The City shall provide a list of the Utility companies that have facilities within the area along with the Contact information for each utilities local representative.

All available utility data will be compiled into Microstation CADD files and included on conceptual and final design drawings, as applicable.

V3 will meet with City staff for a project initiation meeting to review the scope of services and project schedules. The purpose of the meeting will be to confirm project scope and priorities, establish communication protocols and to confirm the preliminary project schedule.

V3 will visit the site to review and document the existing conditions and photograph potentially historic structures.

III. Surveys

A. Description of Property

1. The property to be surveyed is located at the intersection of 7th Street and State Street (IL 38) in Geneva, Illinois.

2. The areas to be topographically surveyed (Survey Area) shall include areas depicted within Attachment I to adjacent right-of-way lines of adjoining roads or streets, and shall include cross sections of 50 foot intervals for the aforementioned roadways, and locations of visible utilities and improvements. See Attachment I attached hereto.

B. Definition

The preparation of the Boundary Survey shall conform to the requirements of the "Constitution of the State of Illinois," adopted at a special election on December 15, 1970, generally effective July 1, 1971. The Land Survey shall incorporate only that information made available by the Client or through outside sources generally available to the Professional Land Surveyor.

C. Product

The Topographic Survey shall include:

1. Survey shall be sealed by a Professional Land Surveyor in the State of Illinois.

2. All of the Topographic Survey information field verified per the scope of this proposal shall be presented on an AutoCad CAD-generated Certified Survey (maximum working area of 36” x 48”).

3. Survey shall show a north arrow, graphic scale and legend of all symbols used.

4. Scale of the Survey shall be at a scale suitable to show all the necessary topographic information in a legible manner or as specifically requested by the CLIENT.

D. Description of Services Topography

1. Record a minimum of two permanent benchmarks at the site. Elevations shall be referenced to a datum commonly acceptable to the reviewing government agency. Description of the source benchmark to which the new benchmarks are tied shall be indicated on the survey.

3. Finished floor or top of foundation elevation(s) of existing buildings within the Survey Area.

4. Spot elevations shall be shown to the nearest 0.01 foot on all “hard surfaces” and utility structures. Spot elevations in unpaved areas such as grass and dirt shall be accurate to the nearest 0.1 foot.

5. Pavement types such as concrete, asphaltic concrete, gravel, etc. shall be indicated. 6. Existing improvements, buildings, and surface features shall be located.

7. Individual trees of 4" diameter or greater (callipered 4’± above the ground) shall be located within one foot tolerance. Where smaller or groups of trees are closely grouped, the perimeter outline shall be shown. Note: Labor hours estimated are based upon performing the survey in a leaf off month of December to March. Additional labor will be necessary if requested to perform the tree survey during leaf on months of April thru November.

8. Mean elevations of water in retention ponds, lakes, or streams shall be shown as depicted at the time the survey field work was conducted.

9. Top of curb, and edge of pavement elevations of all roadways and streets within the survey area.

10. Roadway striping, of all roadways and streets within the survey area.

11. Wetland flags, if present at the time of the survey, shall be located. CLIENT shall provide V3 a sketch showing the approximate shape, location and point range of each wetland before any field work is started. If V3 is delayed or if an additional trip is necessary to locate the wetland flags after the field survey work has been completed, it will be considered an Additional Service.

Utilities

1. The Topographic Survey shall incorporate information on existing utility systems adjoining or contained within the Survey Area which are obtained from city departments or utility companies responding to written or verbal requests for utility records through the Joint Utility Locating Information for Excavators (J.U.L.I.E.) Design Stage/Planning Information Process and available for the surveyors use at the time of the survey. Records or Atlas information that is provided to V3 after completion of the survey can be provided to the CLIENT or engineer.

2. Field markings by J.U.L.I.E. members, which are coordinated by others, shall be shown on the survey if present and practical at the time of survey.

3. The following list contains typical information provided for the specific utilities located which are above ground and visible at the time of the survey. Snow cover, earth or construction debris covering typically above ground structures may not be located. a. Sanitary and Storm Sewers: Size, type and direction of pipes; rim and invert

elevations. Location of manholes, inlets, catch basins, and end sections.

c. Gas Mains: Size of pipe, location of valves.

d. Telephone, Electric, Pedestals, Transformers Street Lights, and Cables.

e. Utilities not listed above and occurring within the Survey Area shall be shown in a similar manner.

f. Visible evidence of field tiles.

g. V3 shall only show underground utility lines between structures that are located in the field and appear to be connected. In areas where structures are not shown connected, V3 recommends that the CLIENT contract a specialist to perform a die test or other sub terrain exploratory test.

h. Upon completion of the topographic survey, V3 shall deliver a pdf and 3 paper copies to the CLIENT.

IV. Environmental Data, Coordination, Inventory and Analysis

Document existing and future land use, agriculture, and development. Define and Analyze Social and Economic Factors.

Coordination:

V3 will prepare and submit to IDOT, the Environmental Survey Request Forms (ESRF), completed per the ESR Guidelines provided by District 1 ESU including all necessary exhibits: - Location Map

- Aerials exhibits or CADD drawings with anticipated proposed ROW - Photos of all buildings constructed prior to 1960

- NWI Maps

V3 will follow up with IDOT staff and provide additional information as required.

The IDOT Central Office will perform the necessary coordination with the required agencies and provide the appropriate results for inclusion in the Project Report.

Historic Structures Photo Documentation

V3 will photograph, research and document all structures that were constructed prior to 1960. Digital photographs will be taken in the field and included in the ESRF.

V. Location Drainage Study

A Location Drainage Study (LDS) will be prepared in accordance with IDOT’s “Drainage Manual”. The study will include a description of the existing and proposed drainage systems, identification of outfall locations and their adequacy, and calculation of storm water detention volumes based on IDOT and local criteria.

The study will include required mapping and exhibits, design of the drainage system and storm water detention (if applicable), a discussion of Best Management Practices (BMPs) (if applicable), and identification of permitting requirements. The existing and proposed drainage exhibits will only include the proposed limits of the project. Any drainage areas that extend beyond the limits of the project will only be identified by their size.

Correspondence and meeting notes will be prepared to document coordination with local agencies.

VI. Alternate Geometric Studies

Plan studies, including alignment and geometrics

V3 will prepare up to three improvement alternatives which address the traffic and circulation needs of the intersection and meet the design criteria as outlined in Chapter 32 of the BDE manual for this type of facility. Review alternatives with the City and the IDOT and make recommendations for a preferred alternative.

Profile studies

Upon selection of a preferred alternative, V3 will design the proposed profiles in accordance with the hydraulic report and the requirements of Chapter 33 of the BDE manual for this type of facility.

Cross-section Studies

V3 will prepare final cross-sections at every 50’ plus driveways, side streets and critical drainage and grading areas.

Typical Cross Sections

V3 will prepare typical cross sections for the existing and proposed conditions along the improvement limit.

Prepare Plan Exhibits

V3 will prepare plan exhibits on aerial photos that show the proposed roadway improvement and include the identification of all proposed rights-of-way, permanent and temporary construction easements. The plan exhibits should include the following information at a minimum:

- Existing topography - Tree Removals

- Proposed Improvements

V3 will organize and attend up to four (4) meetings with the City staff and IDOT to review and coordinate the preparation of the project development report.

VII. Crash Analysis (to be included in Project Report)

- Review Crash Data and Tabulate (For 4 years of data) - Write Analysis (For initial 3 years of data)

- Update Analysis for an Additional Year - Prepare Crash Exhibits (as applicable)

VIII. Traffic Maintenance Analysis (to be included in Project Report)

Prepare a Traffic Maintenance Analysis report in accordance with Section 13-5 of the BDE Manual. Determine the potential options for maintaining traffic during the proposed improvements. If roadway closure with detour is a viable alternative, perform a field inspection of the potential detour routes to determine suitability and condition.

IX. Intersection Design Study

a. Obtain the survey performed by V3 and the intersection geometrics from the approved Traffic Impact Study established for and approved by IDOT for the project.

b. Conduct one field reconnaissance to confirm existing conditions and evaluate the impacts of the proposed improvements.

c. The IDS will contain a plan sheet, roadway profiles if necessary, and turning movement diagrams. All drawings for the IDS will be in accordance with IDOT District 1 formatting requirements. The Elements Controlling Design as required on the IDS plan sheet will be completed as applicable.

d. Utilize traffic volumes and capacity analyses data from the approved Traffic Impact Study including traffic signal timing and phasing, design year traffic volumes by movement for the peak hours, and delay times by movement for the future design year.

e. Determine the projected storage lengths for each approach lane. Show proposed lane configurations and turn lane storage lengths. It is anticipated that no traffic volume projections or analyses will be required at the IDS stage as this will be provided from the TIS.

f. Provide AutoTurn plots for all turning vehicle movements.

g. Submit the IDS documents and supporting analysis reports to the CLIENT for review and revise one time based on comments from the Client. Submit final IDS documents and supporting analysis reports concurrently with the BLR Form 22210.

X. Project Report (Preliminary)

A. IDOT BLR Form 22210 with exhibits will be prepared for submittal to IDOT. The following is brief outline of the tasks that will be necessary for the preparation of the Project Development report.

B. Revised the report based on comment received from IDOT and the City of Geneva. It is anticipated that up to three (3) submittals of BLR Form 22210 will be required to obtain design approval.

XI. Public Involvement

A. Since the anticipated property impacts will be minor, environmental issues are not anticipated, and there is a low potential for controversy, no Formal Public Meetings or Hearings are anticipated for this project.

B. Local municipality and property owner coordination is anticipated for this project. Local agency coordination will consist of 4 presentations to the City Council. V3 will present the status of the project at key decision points during the progress and at the conclusion of the study.

C. V3 will prepare property owner coordination letters and exhibits for any anticipated property acquisition.

XII. Project Report (Final)

A. Revise Preliminary Report (BLR Form 22210) in accordance with comments received from IDOT, local agency, FHWA and other stakeholder agencies. Write summary and conclusion. B. Revise exhibits and attachments in accordance with comments received.

D. One meeting will be held with IDOT to review comments on the final submittal of the report.

XIII. Administration V3 will:

A. Perform a field visit prior to design to confirm the accuracy of the topographic survey and after completion of pre-final designs to confirm the accuracy and completeness of the designs.

B. Prepare invoices and monthly project status update with each invoice.

C. Prepare and update monthly, a project schedule that identifies each component of the project and its level of completion.

D. Attend regular meeting with the City and IDOT to present the project and review comments

XIV. Quality Assurance/Quality Control

Prepare and execute a project specific Quality Assurance Plan for this project. XV. Geotechnical Engineering and Studies

V3 will hire a subconsultant to collect geotechnical samples in accordance with IDOT’s standard practice which includes soil borings at 300’ intervals (6 borings) along the proposed improvements. We will collect approximately 50% of these borings from within paved areas and will include the collection of pavement cores so that we can determine the existing pavement structures. All geotechnical data collection and analysis will be summarized in a geotechnical report for the project.

XVI. Preliminary Environmental Site Assessment (PESA)

The scope of work for the PESA will include the following:

1. Environmental Record Review: Review available State and federal lists pertaining to identified or potential sites with known or potential contamination, or operations that pose a risk of impact.

2. Limited Historical Record Review: Investigate past land uses through review of historical aerial photographs and topographic maps. Additional research may be performed on sites of environmental concern.

3. Site Visit: Conduct a site reconnaissance and record on-site observations of site conditions, activities, and/or operations. Identify areas of potential concern. Observe for possible issues that could impact the study site. The CLIENT shall grant/provide access to the properties as applicable.

4. Project Report: Upon completion of the above noted tasks, prepare a report that discusses site observations, site history, and provides findings, opinions, and conclusions.

If moderate/high risk areas were identified, the CLIENT will follow up with V3 and provide comment with regard to whether these areas can be avoided in the construction of the road improvements. If avoidance is not possible, a Preliminary Site Investigation (PSI) will be recommended for further assessment during the Phase II stage of the project.

Technical Report

A technical report will be developed summarizing the performance and findings of the PESA, site-specific observations, and identification of potential environmental concerns. Selected photos and exhibits will be included in the site report. V3 will provide the executive summary for inclusion in the BLR Form 22210. A disk copy of the entire PESA will be submitted to the City and IDOT. Hard copies will be provided upon request.

XVII. Vegetation and Tree Tabulation & Evaluation

Exclusions

This agreement is for intersection-related improvements for the intersection of State Street and 7th Street as described in the Scope of Services. Should additional infrastructure improvements be required beyond described above, the services associated with those improvements will be the subject of a separate agreement. Furthermore, this agreement does not include services for:

1. Construction Management Services including assistance with and preparation of bid forms, form of construction contract, bid tabulations, review/sign-off on contractor change order requests and applications for payment, and other post design services.

2. Survey Services such as ALTA/ACSM Surveys, Boundary, Topographic Survey, Tree Inventory, Construction Staking, Record Drawing preparation, Plats of Vacation, or Plats of Easement dedication.

3. Wetland, archaeological, or environmental consulting services, other than specifically listed in the Scope of Services.

4. Structural engineering services of any kind including the design of site retaining walls, stairs, landscape planters or the design of underground stormwater detention facilities.

5. Design services, modeling, or permitting associated with work within any existing floodplain, floodway, or wetlands.

6. Utility Improvements, extensions or relocations to eliminate conflicts with the proposed improvements.

7. Items related to right-of-way needs, additional coordination, and unforeseen activities. 8. Permit fees and bonds.

9. Services resulting from any significant modifications to the site plan by CLIENT or Owner after V3 has received authorization to proceed with a specific phase of work and has prepared its initial computer layout of the site.

10. Design or coordination of dry utilities (electric, telephone, gas, cable). Dry utility lines will be shown on the plans for reference only, based on information provided by others. The CLIENT will be responsible for providing the necessary information to the applicable utility companies for coordinating service to this site

11. Landscape design services.

12. Irrigation, geotechnical design or consulting services.

V3 COMPANIES GENERAL TERMS AND CONDITIONS

1. CLIENT'S RESPONSIBILITIES

CLIENT shall do the following in a timely manner so as not to delay the services of CONSULTANT.

a. Provide all criteria and full information as to CLIENT's requirements for the Project, including design objectives and constraints, borings, probings and subsurface explorations, hydrographic surveys, laboratory tests, environmental assessment and impact statements, property, boundary, easement, right-of-way, topographic and utility surveys, property and legal descriptions, zoning, deed and other land use restrictions; all of which CONSULTANT may use and rely upon in performing services under this Agreement.

b. Arrange for access to and make all provisions for CONSULTANT to enter upon public and private property as required for CONSULTANT to perform services under this Agreement.

c. Give prompt written notice to CONSULTANT whenever CLIENT observes or otherwise becomes aware of any development that affects the scope or timing of CONSULTANT's services, or any defect or non-conformance in the work of any Contractor.

2. CONSULTANT'S RESPONSIBILITIES

CONSULTANT will render engineering services in accordance with generally accepted and currently recognized engineering practices and principles. CONSULTANT makes no warranty, either expressed or implied, with respect to its services.

a. Notwithstanding anything to the contrary which may be contained in this Agreement or any other material incorporated herein by reference, or in any Agreement between the CLIENT and any other party concerning the Project, the CONSULTANT shall not have control or be in charge of and shall not be responsible for the means, methods, techniques, sequences or procedures of construction, or the safety, safety precautions or programs of the CLIENT, the construction contractor, other contractors or subcontractors, other than its own activities or own subcontractors in the performance of the work described in this agreement. Nor shall the CONSULTANT be responsible for the acts or omissions of the CLIENT, or for the failure of the CLIENT, any architect, engineer, consultant, contractor or subcontractor to carry out their respective responsibilities in accordance with the Project documents, this Agreement or any other agreement concerning the Project. Any provision which purports to amend this provision shall be without effect unless it contains a reference that the content of this condition is expressly amended for the purposes described in such amendment and is signed by the CONSULTANT.

b. CLIENT reserves the right by written change order or amendment to make changes in requirements, amount of work, or engineering time schedule adjustments, and CONSULTANT and CLIENT shall negotiate appropriate adjustments acceptable to both parties to accommodate any changes.

c. The CONSULTANT will be responsible for correctly laying out the design data shown on the contract documents where construction staking services are a part of this Agreement. The CONSULTANT is not responsible for, and CLIENT agrees herewith to hold CONSULTANT harmless from any and all errors which may be contained within the Contract Documents. It is expressly understood that the uncovering of errors in the plans and specifications is not the responsibility of the CONSULTANT and any and all costs associated with such errors shall be borne by others.

3. TERMS OF PAYMENT

CONSULTANT shall submit monthly statements for Basic and Additional Services rendered and for Reimbursable Expenses incurred, based upon CONSULTANT's estimate of the proportion of the total services actually completed at the time of billing or based upon actual hours expended during the billing period. CLIENT shall make prompt monthly payments in response to CONSULTANT's monthly statements.

If CLIENT fails to make any payment due CONSULTANT for services and expenses within thirty (30) days after receipt of CONSULTANT's statement therefore, the past amounts due CONSULTANT will be increased at the rate of 1.5% per month from said thirtieth day. CONSULTANT may after giving seven days written notice to CLIENT, suspend services under this Agreement until CONSULTANT has been paid in full all amounts due for services, expenses and charges. CONSULTANT shall have no liability whatsoever to CLIENT for any costs or damages as a result of such suspension.

4. SUSPENSION OF SERVICES

CLIENT may, at any time, by written order to CONSULTANT require CONSULTANT to stop all, or any part, of the services required by this Agreement. Upon receipt of such an order CONSULTANT shall immediately comply with its terms and take all reasonable steps to minimize the occurrence of costs allocable to the services covered by the order. CLIENT, however, shall pay all costs associated with the suspension.

5. TERMINATION

This Agreement may be terminated by either party upon fourteen (14) days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party. This Agreement may be terminated by CLIENT, under the same terms, whenever CLIENT shall determine that termination is in its best interests. Cost of termination, including salaries, overhead and fee, incurred by CONSULTANT either before or after the termination date shall be reimbursed by CLIENT.

6. ATTORNEY’S FEES

In the event of any dispute that leads to litigation arising from or related to the services provided under this agreement, the prevailing party will be entitled to recovery of all reasonable costs incurred, including staff time, court costs, attorney’s fees and other related expenses.

In order that the CLIENT and the CONSULTANT may be fully protected against claims, the CLIENT agrees to secure from all CONTRACTORS and SUBCONTRACTORS working directly or indirectly on the project, prior to the commencement of work of any kind, a separate policy of insurance covering public liability, death and property damage naming the CLIENT and the CONSULTANT and their officers, employees and agents as additional insureds, and that said CONTRACTOR and SUBCONTRACTORS shall maintain such insurance in effect and bear all costs for the same until completion or acceptance of the work. Certificates of said insurance shall be delivered to the CLIENT and to the CONSULTANT as evidence of compliance with this provision. However the lack of acknowledgment and follow-up by CONSULTANT regarding the receipt of said certificates does not waive CLIENT's and CONTRACTOR's obligation to provide said certificates.

9. FACSIMILE TRANSMISSIONS.

The parties agree that each may rely, without investigation, upon the genuineness and authenticity of any document, including any signature or purported signature, transmitted by facsimile machine, without reviewing or requiring receipt of the original document. Each document or signature so transmitted shall be deemed an enforceable original. Upon request, the transmitting party agrees to provide the receiving party with the original document transmitted by facsimile machine; however, the parties agree that the failure of either party to comply with such a request shall in no way affect the genuineness, authenticity or enforceability of the document. Each party waives and relinquishes as a defense to the formation or enforceability of any contract between the parties, or provision thereof the fact that a facsimile transmission was used.

10. CERTIFICATIONS, GUARANTEES AND WARRANTIES

CONSULTANT shall not be required to sign any documents, no matter by whom requested, that would result in the CONSULTANT having to certify, guarantee or warrant the existence of conditions whose existence the CONSULTANT cannot ascertain. CLIENT also agrees not to make resolution of any dispute with CONSULTANT or payment of any amount due to the CONSULTANT in any way contingent upon the CONSULTANT signing any such certification.

11. INDEMNIFICATION

CONSULTANT agrees to the fullest extent permitted by law, to indemnify and hold CLIENT harmless from any loss, cost (including reasonable attorney's fees and costs of defense) or expense for property damage and bodily injury, including death, caused by CONSULTANT's, or its employees’ negligent acts, errors or omissions in the performance of professional services under this Agreement.

CLIENT agrees to the fullest extent permitted by law, to indemnify and hold CONSULTANT harmless from any loss, cost (including reasonable attorney's fees and costs of defense) or expense for property damage and bodily injury, including death, caused solely by CLIENT's, its agents or employees, negligent acts, errors or omissions in the performance of professional services under this Agreement

If the negligence or willful misconduct of both the CONSULTANT and CLIENT (or a person identified above for whom each is liable) is a cause of such damage or injury, the loss, cost, or expense shall be shared between CONSULTANT and CLIENT in proportion to their relative degrees of negligence acts, errors or omissions and the right of indemnity shall apply for such proportion.

12. WAIVER OF CONTRACT BREACH

The waiver of one party of any breach of this Agreement or the failure of one party to enforce at any time, or for any period of time, any of the provisions hereof, shall be limited to the particular instance, shall not operate or be deemed to waive any future breaches of this Agreement and shall not be construed to be a waiver of any provision, except for the particular instance.

13. LIMITATION OF LIABILITY

CLIENT and CONSULTANT have discussed the risks, rewards, and benefits of the project and the CONSULTANT's total fee for services. Risks have been allocated such that the CLIENT agrees that, to the fullest extent permitted by law, the CONSULTANT's total liability to the CLIENT for any and all injuries, claims, losses, expenses, damages, or claim expenses arising out of this agreement from any cause or causes shall not exceed $100,000. Such causes include but are not limited to the CONSULTANT's negligence, errors, omissions, strict liability, or breach of contract.

14. CONTROLLING LAW

This Agreement is to be governed by the law of the State of Illinois.

15. CONSTRUCTION STAKING PROVISIONS

a. The destruction of any point(s) labeled C.P. (control point) without the consent of the CONSULTANT will be charged as a non-contract item, at $300.00 per incident. Control points will be marked, highly visible and identifiable by a "pig-pen" or "triple lath" configuration surrounding each control point.

b. CONSULTANT will require a minimum of 48 hours notice for scheduling of survey crews. Once the crew is on site, crew will return for as long as required to finish the requested work. ADDITIONAL WORK given to crew, while crew is on-site, will be performed in a minimum of 48 hours. Scheduled surveying requests shall constitute a minimum of 4 hours of field work.

c. It is understood that it is the CLIENT's responsibility to notify the CONSULTANT (in writing) of any and all revisions to the contract documents. Current blueline drawings for the project shall be supplied to CONSULTANT by CLIENT.

d. If underground utility lines and/or curb lines are incorrectly constructed, and the CONSULTANT's stakes are claimed to be the source of error, the stakes in question MUST BE IN THE GROUND as set by the CONSULTANT in order that a re-verification of the location of the stakes can be accomplished.

e. The CONSULTANT must be notified in writing within 24 hours of any potential staking error by the CLIENT so that the CONSULTANT may assess and verify the cause of the error. No claims shall be made as a result of a staking error against the CONSULTANT without the foregoing notification of the error in writing as specified.

f. It is understood that the CONSULTANT will set offset stakes one time only, except as otherwise provided in this Agreement. A loss of a stake or stakes due to construction, vandalism, or an act of god will be replaced as an additional service to this Agreement. If the CONSULTANT is called upon to check or verify stakes that he has placed in the ground, and if it is found that those stakes were located and marked according to plan, the CONSULTANT's services will be considered an additional service to this Agreement.

g. It is understood that it is not the responsibility of the CONSULTANT to verify the horizontal and/or vertical alignment of utility structures after they are built. Such services, should they be required by the CLIENT or the CONTRACTOR, will be provided as an additional service to this Agreement.
