PALM BEACH SOLUTIONS GROUP

INFORMATION TECHNOLOGY CONSULTING AGREEMENT

This Agreement is made effective as of April 21st, 2016, by and between Palm Beach Solutions

Group - dba PalmSol – and The Port of Palm Beach District, located at One East 11th, Suite 600,

Riviera Beach, FL 33404.

In this Agreement, the party who is contracting to receive services shall be referred to as "Client", and the party who will be providing the services shall be referred to as "Consultant". Client remains responsible for all of their decisions.

Client desires to have services provided by Consultant. Therefore, the parties agree as follows:

1. DESCRIPTION OF SERVICES

Beginning on April 21st, 2016, Consultant will provide the following services (collectively, the

"Services"):

SCOPE OF W ORK

The proposed scope of work and weekly schedule is as follows:

SCHEDULE

1. 12.5 hours monthly on-site support between the hours of 8:00am and 5:00pm, Monday through Friday. Schedule to be determined.

2. Disaster recovery call voice response within 60-minutes or less, including On-site response within 24 hour or less.

Consultant has a background in management in information technology, systems development, database management, and systems integration with particular expertise in port and ship based operations.

Consultant has over 21 years of experience working within the Port of Palm Beach District Information Technology Infrastructure. Consultant is extremely knowledgeable, and has assisted, in both the continued enhancement of the Ports technology hardware and network, as well as, continues to provide assistance in developing and administering the complexities and intricacies of the Ports multiple operating systems.

Consultant will provide services to Client based on this background as follows:  Upgrade, migration, and scalability implementation.

 SQL Server database administration and disaster recovery.  Microsoft Dynamics administration.

 Microsoft Exchange administration.

 Manage and secure distributed and branch office environment.  Implement and manage wireless communication infrastructures.  Simplify ongoing administration and patch management.

 Integrate business continuity and disaster recovery strategies.  Provide cloud based system strategies, integration and support.

 Provide secondary support of the Ports failover site located at the Districts Disaster Recovery location at South Gate

 Custom mobile and desktop application development initiatives.

COMMUNICA TION AND CO LLABORATION

 Provide advice and counsel concerning IT issues and industry trends.

 Communicate to client leaders the plans for continued standardization efforts of information technology (IT) across the system.

 Provide methodologies for working with third-parties toward standardization.

 Participate in the strategic planning process and development of the client vision, goals and initiatives.

2. PERFORMANCE OF SERVI CES.

The manner in which the Services are to be performed and the specific hours to be worked by Consultant shall be determined by Consultant. Client will rely on Consultant to work as many hours as may be reasonably necessary to fulfill Consultant's obligations under this Agreement.

3. RETAINER/PAYMENT.

Client will pay to Consultant for 150 hours of services per agreement year the amount of $1,187.50 per month for and, for all hours above 150 annually, an amount of $ 95 per hour in Agreement Year one and $ 100 per hour in both Agreement Years Two and Three. The client shall pay to Consultant invoiced amounts within thirty (30) days after the date of invoice.

4. EXPENSE REIMBURSEMEN T.

Consultant, upon presentation of receipts suitable to client, shall be entitled to reimbursement from Client for the following reasonable "out-of-pocket" expenses: travel expenses and travel related meals. Any single expense, greater than $100.00, shall require prior written approval of the client. In no event shall the total expenses exceed $1,000.00.

5. TERM.

terminate this Agreement immediately upon providing written notice to the other party, for any reason.

6. RELATIONSHIP OF PART IES.

It is understood by the parties that Consultant is an independent contractor with respect to Client, and not an employee of Client. Client will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Consultant. Client shall not be responsible for any withholding and/or payment of federal, state or local employment taxes or the like.

7. DISCLOSURE.

Consultant is required to disclose any outside activities or interests that conflict or may conflict with the best interests of Client. Prompt disclosure is required under this paragraph if the activity or interest is related, directly or indirectly, to other consulting relationships that may conflict with this Agreement.

Client maintains control of all decisions and should reject advice that they do not agree with.

8. EMPLOYEES.

Consultant's employees, if any, who perform services for Client under this Agreement shall also be bound by the provisions of this Agreement.

9. CONFIDENTIALITY.

Client recognizes that Consultant has and will have the following information:

- Business affairs; financial information; personal information; future plans; and other proprietary information (collectively, "Information") which are valuable, special and unique assets of Client and need to be protected from improper disclosure. In consideration for the disclosure of the Information, Consultant agrees that Consultant will not at any time or in any manner, either directly or indirectly, use any Information for Consultant's own benefit, or divulge, disclose, or communicate in any manner any Information to any third party without the prior consent of Client. Consultant will protect the Information and treat it as strictly

10. CONFIDENTIALITY AFTE R TERMINATION.

The confidentiality provisions of this Agreement shall remain in full force and effect after the termination of this Agreement.

11. RETURN OF RECORDS.

Upon termination of this Agreement, Consultant shall deliver all records, notes, and data of any nature that are in Consultant's possession or under Consultant's control and that are Client's property or relate to Client's business.

12. NOTICES.

All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person or deposited in the United States mail, postage prepaid, addressed as follows:

Such address may be changed from time to time by either party by providing written notice to the other in the manner set forth above.

13. ENTIRE AGREEMENT.

This Agreement may be modified or amended if the amendment is made in writing and is signed by both parties.

15. SEVERABILITY.

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

16. WAIVER OF CONTRACTUA L RIGHT.

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

17. APPLICABLE LAW .

ACCEPTANCE OF CONSULTING AGREEMENT

IN WITNESS WHEREOF, the parties hereto have caused this Service Agreement to be

signed by their duly authorized representatives as of the date set forth below.
