SENIOR PARTNERS Richard T. Clampitt

Richard T. Clampitt earned his Juris Doctorate from Hastings College of Law, University of California in 1981. He earned is B.A. from Colby College. Mr. Clampitt is a Partner in Gordon & Rees LLP’s San Diego office and is a member of the Business Transactions, Real Estate, Credit Crisis and Tax, Wealth Management & Probate Practice Groups. He has broad experience in representing businesses and individuals for

transactions and strategic financial planning. Mr. Clampitt’s practice has a focus on corporate governance and the regulatory compliance and disclosure obligations of

publicly traded companies and executive officers. He maintains expertise with respect to the registration requirements and applicable exemptions for the issuance of securities under state and federal law.

Jeffrey D. Cawdrey

Jeffrey D. Cawdrey earned his Juris Doctorate degree from California Western School of Law in 1985. He earned his B.A. from the University of Washington. During law school, Mr. Cawdrey was a member and editor of the Law Review. He has been a member of the State Bar of California since 1985 and a member of the bar for the United States District Court for the Southern District of California since 1985. He is admitted to practice in all four Federal Judicial Districts within the State of California and the

Southern District of Texas. He is a former director and president of the San Diego Bankruptcy Forum, a former co-chair of the Commercial Law Section of the San Diego County Bar Association, and a former law clerk to the Honorable John J. Hargrove, United States Bankruptcy Judge for the Southern District of California.

Mr. Cawdrey is a Senior Partner in the San Diego office of G&R, and a member of the Bankruptcy and Commercial Litigation practice groups. He has extensive

representation of individual, corporate, and partnership debtors, individual and

institutional creditors, and representation of trustees, receivers and committees, both in and outside of bankruptcy court. His litigation practice includes general and complex business, corporate, commercial and civil litigation in State and Federal courts and in alternative dispute forums.

J. Peter Olson

J. Peter Olson is a partner working out of the firm’s Southern California offices. He has advised and represented corporations, partnerships, LLCs and individuals on a wide variety of business transactions including mergers and acquisitions, real estate, secured financing, defeasance financing, mezzanine and secondary financing, business formations and compliance.

Mr. Olson is a former law clerk to the Honorable Gordon Thompson, Jr., United States Bankruptcy Judge for the Southern District of California. Mr. Olson received his Bachelor of Science California Lutheran University and his Juris Doctorate from the University of Southern California. Mr. Olson is admitted to practice before all of the Courts of the State of California.

William M. Rathbone

William M. Rathbone is a partner in Gordon & Rees LLP’s San Diego office. Mr. Rathbone received his Juris Doctorate from the California Western School of Law in May 1980. He obtained his undergraduate degree from the University of Vermont. Mr. Rathbone has been a member of the California Bar since 1980 and a member of the bar for the United States District Court for the Southern District of California since 1980. Mr. Rathbone is a former law clerk to the Honorable Ross Pyle, United States

which included jury trials.

Mark Saxon

Mark A. Saxon is a partner in Gordon & Rees's San Diego office and is Chair of the San Diego Employment practice group. Mr. Saxon provides pro-active advice to companies of all sizes on topics ranging from employee handbooks to wage and hour issues and from Family and Medical Leave/disability to avoiding claims of wrongful termination.

In addition, Mr. Saxon regularly defends employers and supervisors in both state and federal court, as well as in arbitration proceedings, against claims of discrimination, harassment, wrongful termination, defamation, violation of privacy rights, and violation of wage and hour laws. He has also handled numerous class actions and "Private Attorney General" lawsuits claiming Labor Code violations, including failure to provide meal and rest periods, unpaid overtime, failure to reimburse employees' business

expenses, and unfair business practices.

Mr. Saxon received his Bachelor of Arts in Economics from University of California, Riverside and his Juris Doctorate from the University of San Diego. Mr. Saxon is admitted to practice before all of the Courts of the State of California and all of the United States District Courts of California (Northern, Central, Southern, and Eastern). He is also admitted to practice before the United States Court of Appeals for the Ninth Circuit.

Charles V. Berwanger

Charles V. Berwanger is a partner in Gordon & Rees LLP’s San Diego office. For the past 30, years Mr. Berwanger has specialized in real estate, land use,

purchase and sales agreements, secured transactions, environmental claims, and commercial landlord/tenant relationships. Mr. Berwanger earned his Juris Doctorate from the University of Southern California Law School in 1969. He earned is Bachelor of Arts in Political Science at the University of California, Los Angeles.

Lynn M. Gollin

Lynn M. Gollin earned her Juris Doctorate from the University of Miami School of Law in 1986. She earned her B.A. from the State University of New York at Oswego. Ms. Gollin is a Partner with the Bankruptcy, Restructuring and Creditors’ Rights,

Business Transactional and Commercial Litigation practice groups. She has been a member of the State Bar of Florida since 1986. Ms. Gollin has substantial experience with Chapter 11 business reorganizations and liquidations, state and federal court

receiverships, representation of receivers and trustees in bankruptcy court, and has served as lead counsel in numerous cross border matters in Chapter 11 proceedings.

Kimberly D. Howatt

Kimberly D. Howatt is a Partner in the San Diego and Los Angeles offices of Gordon & Rees LLP. In her practice, Ms. Howatt handles a broad scope of commercial matters, and has also developed a focus on particular areas of law that are uniquely critical to businesses, e.g., intellectual property rights, contracts, and bankruptcy issues. Ms. Howatt is an experienced attorney who has litigated cases involving intellectual property infringement claims, corporate securities defense, financial, lending, and debt collection laws, and contract-based disputes.

Ms. Howatt attended the University of California, Davis where she obtained a Bachelor of Arts in International Relations, with a focus on Global Resources and Geology. She earned her Juris Doctorate from the University of San Diego School of Law. Ms. Howatt also studied Comparative Law at Oxford University in England. / / / / /

Carol Schaner

Carol Schaner is a partner in the Orange County office. Ms. Schaner is a Certified Tax Specialist from the California Board of Legal Specialization, as well as a Certified Public Accountant. Her practice focuses on taxation (planning and

controversy), business planning, charitable giving, representation of nonprofit tax-exempt organizations, and estate planning. Ms. Schaner is admitted to practice before all of the Courts of the State of California.

Ms. Schaner received her Bachelor of Science from Cornell University and her Juris Doctorate and LL.M in taxation from the University of San Diego School of Law.

SENIOR COUNSEL Megan M. Adeyemo

Megan M. Adeyemo is senior counsel in the Denver Office and part of the Business Transactions and Bankruptcy, Restructuring, Creditors’ Right Groups. Ms. Adeyemo has substantial experience in the representation of debtors, creditors and trustees in bankruptcy proceedings throughout the United States. She has represented creditors’ committees, debtors-in-possession, chapter 11 and 7 trustees, liquidating trustees, and secured and unsecured creditors. She has negotiated settlements and debtor-in-possession financing, and drafted asset purchase agreements and other asset transfer documents, including the transfer of intellectual property rights.

Ms. Adeyemo earned her Juris Doctorate from University of Denver College of Law in 2005. She earned her Bachelor of Arts in Political Science from the University of Pittsburgh in 2002.

Pamela Anderson

Ms. Anderson received her Bachelor of Arts in Political Science from Columbia University and received her Juris Doctorate from University of San Diego.

David Chasin

David Chasin in an senior counsel in the San Diego office of Gordon & Rees LLP. He is a member of the Real Estate and Business Litigation practice groups,

emphasizing in the representation of commercial, industrial, and retail property owners in civil litigation. Mr. Chasin earned his Juris Doctorate from the University of California, Davis School of Law. He earned his Bachelor of Arts from Pomona College.

Jill Raffee

Jill Raffee is senior counsel in the San Diego office, and a member of both the Commercial Litigation and Real Estate practice groups. Ms. Raffee has extensive experience in complex real estate litigation with a client base which includes general contractors, developers, lenders, and individual property owners. She has extensive court and jury trial experience in San Diego, Los Angeles, Riverside and Orange County Superior Courts.

ASSOCIATES Ross Hoogerhyde

Ross A. Hoogerhyde is an associate in the Denver office and a member of the Construction Practice and Bankruptcy Restructuring and Creditors’ Rights practice groups. He earned his Juris Doctorate from Michigan State University College of Law in 2008. Mr. Hoogerhyde earned his Bachelor of Arts in Business Administration from Western Michigan University in 2005. Mr. Hoogerhyde is experienced drafting and arguing first-day motions, operating motions, and contested matters, and has attended court hearing and completed the claims objection process on behalf of distressed automotive suppliers.

Stephanie Lemos

Stephanie M. Lemos is an associate in the Business Transactions and Bankruptcy, Restructuring, and Creditors’ Rights practice groups in the Gordon & Rees San Diego office. Prior to working at Gordon & Rees, Ms. Lemos worked predominately in the area of consumer bankruptcy and civil litigation.

Ms. Lemos received her Bachelor of Science from the University of Georgia and her Juris Doctorate from Wake Forest University School of Law. Ms. Lemos is admitted to practice before all of the Courts of the State of California and all of the United States District Courts of California (Northern, Central, Southern, and Eastern).

Editor of the Arizona Journal of International and Comparative Law. During law school, Ms. Abeln interned for the Arizona Attorney General’s Office and a United States

District Court of Arizona judge. Ms. Abeln also served as a Writing Fellow for her law school’s Legal Process, Analysis and Writing course. Prior to law school, Ms. Abeln worked as a litigation legal assistant on securities and complex-litigation matters at large firm in Boston.

Robin Collette

Robin Collette has worked as a paralegal for the past twenty-two years, the past seven of which with the law firm of Gordon & Rees, LLP. In addition to her associates degree in Paralegal Studies, Ms. Collette has a Bachelor of Arts degree from UCSD and attended graduate school at Old Dominion University in Norfolk, Virginia.

Emily Franco

Emily Franco is a paralegal for the Insurance Coverage, Employment, and Tort & Product Liability practice groups in both the San Francisco and San Diego offices. Ms. Franco has been with Gordon & Rees since September of 2010. Ms. Franco received her B.A. in Legal Studies and Politics from the University of California, Santa Cruz, where she served on the board of the UCSC Pre-Law Society. Prior to joining Gordon & Rees, Ms. Franco worked as a legal assistant on business transactions for in-house counsel at a nationally recognized organization in Washington, D.C.

Glenda Huebscher

Glenda Huebscher is a paralegal at Gordon & Rees LLP’s Denver office. During Ms. Huebscher’s twenty years of legal experience, over five years have been in
