hereinafter
called "DCCC"and
DeVry university, Philadelphia
Metro, hereinafter called ,,DeVry". PhiladelphiaMetro
encompasses, DeVry, Fort Washington, Philadelphia,and King of Prussia.
DCCCandDeVryacknow|edgetheirsharedmissiontoprovidequaIityhighereducation
programs wh ich meet the needs of
the
region a nd provide a workforceof
high ly train ed residents.The pnmary
purposeof
this
agreementis
to
enhancethe
transferability between
DCCC'sAssociate in Applied science Electronics Technology (AET) program
to
Devry's Baccalaureate Degreeprogram
in
Electronics EngineeringTechnology. A
secondarypurpose
is
to
provide
faculty
and administrationof both
institutions
with
more
precise guidelinesfor
advising studentsinterested
inpursuing a Bachelor of science Degree in Electronics EngineerinS
Technology.

Mutual Terms and ConditionsA. Term of

Agreement.
This agreement shall be in effectfor five
(5) yearsfrom the
dateof
the signature and
will
be reviewed annually for accuracy'B, Termination of the
Agreement,
DCCC and DeVry may terminate this A8reementfor
anyreason or no reason
with
ninety (90) dayswritten
noticefrom
eitherparty
Either party may terminate this Agreement inthe
event of a substantialbreach.
However, shouldeither party terminate this Agreement prior to the completion of an academic semester' all students enrolled at that
time
may continue their educational experience untilit
would have been concluded absent the termlnation'
C.Nondiscrimination.Thepartiesagreetocontinuetheirrespectivepoliciesof
nondiscrimination based on Title

ssx, age, race, color, creed, and national origin, Title IX of the Education Amendmentsof

applicable laws, as well as the provisions of the Americanswith

lawsof

Commonwealthof
Pennsylvania shallgovern this Agreement.
E.
Modification of
Agreement.
This Agreement shallonly
bemodified
inwriting with
the
sameformality as the original Agreement.
F. Relationship
of Parties.
The relationship betweenthe
partiesto
this Agreementto
eachother
isthat of
independentcontractors.
The relationshipof the
partiesto this
contractto
eachother shall
not
be
construed
to
constitute
a
partnership,
joint
venture,
or
any
other
relationship, other than
that
of independent contractors'G.
Liability.
Neither ofthe
parties shall assume any liabilitiesto
eachother.
Asto
liabilityto
eachother or death
to
person,or
damagesto
property,the
partiesdo
not waive any defense as aresult
of
entering
into this
contract.
This provision
shall
not
be
construedio
limit
the
commonwealth's
rights,
claimsor
defenseswhich
arise asa matter
of
law
pursuantto
any provisions of this contract.H. Entire
Agreement,
The Agreement representsthe entire
understanding betweenthe
parties'NootherpriororcontemporaneousoraIorwritteriunderstandingsorpromisesexistinregard
to this relationship. Any changes, corrections or additions
to
this contract shall be inwriting
inthe form of a supplemental agreement signed by all necessary parties and setting
forth
thereinlN WITNESS WHEREOF, the authorized representatives of
the
parties have executedthis
