1.0

INTRODUCTION and BACKGROUND

1.1

Introduction

The City of Surrey is seeking a suitably qualified design-builder to undertake the design and construction of the Roberts Bank Rail Corridor Combo Project (the “Project”).

The Responses to this Request for Qualifications (“RFQ”) will be used to identify a Shortlist of up to three (3) qualified Respondent teams which will be invited to respond to a Request for Proposals. This RFQ outlines the overall scope of the Project, the requirements for the Responses to the RFQ, and the process to be used to select the Shortlisted Respondents. This RFQ is subject to the terms of the Agreement on Internal Trade.

1.2

Background

The Roberts Bank Rail Corridor (“RBRC”) is a 70 kilometre stretch of rail line running from Roberts Bank in Delta to Highway 11 near the Mission / Abbotsford border. The City of Surrey has 10 public at-grade crossings and 1 private crossing of the Roberts Bank Rail Corridor, the most of any of the five Greater Vancouver municipalities that are impacted by the rail line.

In recognition of the rapid population growth and the increase in train traffic, the RBRC program is preserving community connectivity by providing rail overpasses and road improvements. The program enables growth in international trade, improves the safety and efficiency of road and rail traffic and enhances the quality of life of neighbouring residents

In June 2007, an Agreement in Principle was reached to advance the Roberts Bank Rail Corridor Program (the “RBRC Program”) a comprehensive package of road / rail grade separations along the Roberts Bank Rail Corridor. Partners in the Program are as follows:

• Transport Canada;

• British Columbia Ministry of Transportation and Infrastructure (“BCMoT”);

• South Coast British Columbia Transportation Authority (“TransLink”);

• Vancouver Fraser Port Authority (“Port Metro Vancouver”);

• City of Surrey;

• City of Langley;

• Township of Langley;

• Corporation of Delta;

• British Columbia Railway Company;

• Canadian Pacific Railway;

• Canadian National Railway; and,

The RBRC Combo Project includes the following components:

• 192nd Street road / rail grade separation and associated improvements;

• 54th Avenue road / rail grade separation and associated improvements; and

• 196th Street road / rail grade separation and associated improvements.

Subsequent to signing the Agreement in Principle, the Funding Partners (the “Partners”) with an interest in supporting these components of the RBRC Program agreed to enter into project agreements detailing roles and responsibilities related to the RBRC Combo Project. The Partners have agreed to the substantive business terms of these agreements.

The Partners have agreed that the City of Surrey (the “City”) will act as the delivery agent for the RBRC Combo Project.

2.0

THE PROJECT

2.1

Project Objectives

The Project objectives / desired outcomes include:

 increased safety and access to emergency and non-emergency services through the provision of rail / road grade separations;

 enhanced mobility to provide travel time savings for local residents and commercial traffic;

 reduced existing and projected traffic congestion on Fraser Highway, 56th Avenue and 200th Street through the addition of new road / bridge infrastructure to the local network;

 supporting the movement of rail traffic and associated freight;

 maximizing value for money, through obtaining:

• low capital costs

• low operating costs

• low life cycle costs

 minimizing disruption to the travelling public before and during construction

 allowing traffic to follow desire lines, as much as possible, during Project construction

2.2

Project Scope

The RBRC Combo Project includes three components of the RBRC Program. A conceptual plan of the Project is presented in Appendix 2. The scope of each component is as follows.

(a) 192nd Street Grade Separation Component

A new four-lane, multiple span overpass on 192 Street over the CP Rail tracks (approximately 219 metres long), including raised median, bike lanes, and sidewalk on the east side of the road plus associated works. The work includes:

• Bridge abutments, piers, and foundations

• Reconstruction of 192nd Street, between the existing bridge over the Nicomekl River and approximately Sundale Avenue north of Highway 10 to a four lane cross-section; with raised median, bike lanes, sidewalk on the east side south of 54th Avenue, and sidewalk on both sides north of 54th Avenue

• Retaining walls and/or other methods to construct bridge approaches within the proposed road Right-of-Way

• Preloading, light-weight fills, piles, and / or other methods for constructing the bridge structure and approaches to meet the settlement criteria

• New two lane Frontage Road on the west side of 192nd Street between 52nd Avenue and 54th Avenue, including sidewalk

• New road connection providing full movements between 192nd Street and 51B Avenue to the west, and the BC Hydro/Metro Vancouver Access Road to the east

• New signalized four-legged intersection between 192nd Street and 54th Avenue, including left turn lanes for all approaches

• Modifications to the signalized intersection at 192nd Street and Highway 10, including the closure of the existing 56 Avenue Connector on the east side, provision of dual northbound to westbound left turn lanes, and widening the north leg to shadow the proposed laning of the south leg

• Improvements to the existing right-in/right-out intersection at Highway 10/56 Avenue, including provision of private property access to replace the closed 56 Avenue Connector

• Sidewalk, median, bike and vehicle lane widths meeting City of Surrey standards for arterial roads

• Abandonment, relocation, protection and/or construction of City utilities including watermain, storm sewers, sanitary sewers and drainage ditches

• Coordination of third party utility relocations, and protection of existing utilities including Terasen Gas mains, Metro Vancouver trunk watermain and trunk sewer, BC Hydro and Telus infrastructure

• Coordination of relocation of high voltage transmission tower and raising of

transmission lines to achieve adequate horizontal and vertical clearance of new road and bridge

• Environmental mitigation and compensation as required

• Construction of private property impact mitigation works, including driveway regrading, wall and fence construction, landscaping, and other works

(b) 54th Avenue Grade Separation Component

A new two-lane, multiple span overpass on 54th Avenue over the CP Rail tracks (approximately 103 metres long), including raised median, bike lanes, and sidewalk plus associated works. The work includes:

• Bridge abutments, piers, and foundations

• Preloading, light-weight fills, piles, and/or other methods for constructing the bridge structure and approaches to meet the settlement criteria

• New one way Frontage road on 54 Avenue, including turnaround under bridge, to maintain private property access to all properties west of rail tracks

• New curb-side parking lane on south side of 54 Avenue between 192 Street and one way frontage road

• Provision of private property access to all fronting properties, including re-grading driveway ramps, and on-site property modifications

• Connection to new signalized intersection at 54th Avenue / 192nd Street, including left turn lanes

• Realignment of west leg of 54th Avenue / 192nd Street intersection to match 54 Avenue alignment on east leg

• Intersection between 54 Avenue and proposed 192 Street Frontage Road, including westbound to southbound left turn lane

• Abandonment, relocation, protection and/or construction of City utilities including watermain, storm sewers, sanitary sewers drainage ditches, and ponds

• Coordination of third party utility relocations and new installations, including Terasen Gas mains, BC Hydro and Telus infrastructure

• Sidewalk, median, and vehicle lane widths meeting City of Surrey standards for Collector roads

• Direct curved connection between 54 Avenue and 196 Street, with appropriate radius for 50 km/hr design speed

• Pedestrian / cyclist connection to 53rd Avenue east of 196th Street

• Environmental mitigation and compensation as required

• Construction of private property impact mitigation works, including driveway

regrading / reconstruction, wall and fence construction, landscaping, and other works

(c) 196th Street Grade Separation Component

A new four-lane, multiple span overpass on 196th Street over the CP Rail tracks, Landmark Way and Highway 10 (approximately 323 metres long), including raised median, bike lanes, and sidewalk on the west side of the road plus associated works. The work includes:

• Bridge abutments, piers, and foundations

• Retaining walls and / or other methods to construct bridge approaches within the proposed road Right-of-Way

• Preloading, light-weight fills, piles, and / or other methods for constructing the bridge structure and approaches to meet the settlement criteria

• Bridge substructure, including piers and foundations to avoid existing watercourse within 196th Street road allowance south of Highway 10

• A new two-lane 196th Street built to Collector standards between 54th and 56th Avenue, including bike lanes and sidewalks on both sides

• Sound attenuation walls along a portion of the east side of 196th Street

• A new four-lane 196th Street built to Arterial road standards between 56 and 60 Avenue, including raised median, bike lanes, and west side sidewalk

• New signalized four-legged intersection at 196th Street and 56th Avenue, including widening east leg of intersection to accommodate separate left turn, through and right turn lanes (what about widening of 56 Ave. from 196 Street to Production Way

• widening of 56th Ave. from 196th Street to Production Way to four lane arterial standard

• New signalized four-legged intersection at 60th Avenue / 196th Street, including widening 60th Avenue to provide separate left turn and combined through / right turn lanes

• Widening of 196th Street between 60th Avenue and Fraser Highway to four-lane arterial standard, including bike lanes, sidewalks, raised median and dedicated left turn lanes

• Modifications to existing signalized intersection at 196th Street and Fraser Highway to accommodate new laning in south leg of intersection

• Upgrading of 60th Avenue between 196th Street and Highway 10 to include curb and gutter, and sidewalks on both sides, as well as two-way traffic on 60th Avenue between 196A Street and Highway 10

• Upgrading of 60th Avenue / Highway 10 intersection to allow right-in / right-out movements, providing westbound acceleration / merge lane, and extending existing raised median on Highway 10 to prevent illegal left turns to or from 60th Avenue

• Intersection improvements at 196th Street / Willowbrook Drive, including signalization, to improve traffic operations and safety

• Intersection improvements at 196th Street / 64th Avenue, including signalization and addition of left turn lanes

• Abandonment, relocation, protection and/or construction of City utilities including watermain, storm sewers, sanitary sewers drainage ditches, and ponds

• Coordination of third party utility relocations and new installations, including Terasen Gas mains, BC Hydro and Telus infrastructure

• Environmental mitigation and compensation as required

• Construction of private property impact mitigation works, including driveway regrading, wall and fence construction, landscaping, and other works

2.3

Responsibilities of the Design-Builder

The Design-Builder will be required to plan, design and construct the Project to provide a level of functionality equal to or better than that provided in the Reference Concept for the RBRC Combo Project components.

The Design-Builder will be responsible for:

• Project Management

• Quality Management

• Traffic Management, including temporary detours and maintaining private property access throughout construction

 Geotechnical Engineering, including additional field investigation as required, engineering for bridge foundations, retaining walls, approach fills, pavement structure design, seismic analysis, settlement analysis and monitoring

 Road Design, Traffic Engineering, signage and pavement marking design, including any additional field survey necessary to complete the design

 Utility and Drainage Design, including stormwater management

 Environmental Design and Management

 Structural Design

 Electrical Design, including traffic signals and lighting

• All aspects of construction including but not limited to:

 Supply of all materials, equipment and labour

 Road, bridge and retaining wall construction

 Underground utility construction, protection and relocation as necessary

 Electrical construction

 Traffic Management

 Environmental monitoring

 Compliance with all permits necessary for the works

 Coordination of works and relocation of overhead utilities

• Communications

The City has made a CEAA Screening Submission to Transport Canada for the Project and will be responsible for obtaining CEAA approval based on the reference concept design. The Design-Builder will be responsible for obtaining approvals for any variances from the reference concept design and providing supplemental information as required related to its detailed design. The Design-Builder will be responsible for applying for and obtaining all other necessary permits, approvals, licenses and permissions for the design and construction of the Project.

2.4

Responsibilities of the City of Surrey

The City will undertake the following activities in support of the design and construction of the Project:

• obtaining CEAA approval based on the reference concept design

• acquiring lands identified in the Reference Concept, including full and partial property acquisitions and temporary leases, that are considered necessary for construction of the Project and / or considered necessary to support construction activities

• acquiring any additional lands, above and beyond the lands considered necessary for the Reference Concept, as requested by the Design-Builder (the costs of these acquisitions and the schedule impacts will be the Design Builder’s responsibility)

• coordinating Project communications

• liaising with Funding Partners and key stakeholders

• making payments to the Builder in accordance with the terms of the Design-Build Agreement.

3.0

PROCUREMENT PROCESS

3.1

Overview of Procurement Stages

The City is utilizing a two-phase selection process to identify a Preferred Proponent to enter into the Design-Build Agreement for the Project.

(a) Request for Qualifications

The first phase of the procurement process is the RFQ phase which is intended to shortlist Respondents which, based on pre-established evaluation criteria, have demonstrated through their Responses that they have the relevant expertise and capacity to undertake the design and construction of the Project. Up to three shortlisted Respondents judged to be most suitably qualified will be invited to proceed to the RFP phase of the procurement process.

(b) Review of Design-Build Agreement

The City will provide the draft form of Design-Build Agreement to the shortlisted Respondents for review for a seven calendar day period upon submission of a confidentiality agreement. Upon completion of the review and provision of any comments to the City, the shortlisted Respondents will be entitled to receive the RFP upon submission of the Security Deposit set out in Section 3.4 below. The RFP will include the final form of DB Agreement.

(c) Request for Proposals

The RFP phase is the second phase of the procurement process open to Proponents shortlisted during this RFQ phase. Proponents will be expected, in accordance with the RFP, to commit to submit binding Proposals to design and build the Project. Following an evaluation of these Proposals, the City expects to select a Preferred Proponent and to enter into the DB Agreement with that Preferred Proponent.

3.2

Project Schedule

The following table outlines preliminary key Project milestones. These dates may be adjusted during the procurement process. However, the date for Final Completion is fixed and cannot be extended.

3.3

Fairness Monitor

The City has appointed a Fairness Monitor to monitor the procurement process. The City will:

a) provide the Fairness Monitor full access to all documents, meetings and information related to the procurement process which the Fairness Monitor decides is required; and

b) keep the Fairness Monitor fully informed of all documents and activities associated with this RFQ.

The Fairness Monitor will provide a written report to the City, and the City will make any such report available to interested parties upon request.

3.4

Security

To be entitled to receive the RFP, a Respondent, after being successfully shortlisted, will be required to provide:

• a Security Deposit to the City in the amount of $50,000 in the form of a bank draft, certified cheque or money order; and;

• a written undertaking to the City stating that it will submit a Proposal in the RFP stage.

Upon submission of a Proposal, a Proponent will be required to provide further Proposal Security to the City of $100,000 with its Proposal.

The Security Deposit together with the Proposal Security will be refunded to the Proponents upon signing of the Design-Build Agreement by the Preferred Proponent. The Security Deposit may be forfeited if the Shortlisted Respondent does not submit a bona fide Proposal. Both the Security Deposit and the Proposal Security provided by the Preferred Proponent may be forfeited if the Preferred Proponent does not sign the Design-Build Agreement.

3.5

Honorarium

An honorarium of $150,000 will be made available to each unsuccessful Proponent no later than 21 calendar days after the signing of the Design-Build Agreement provided that, in the sole opinion of the City, the Proponent has:

• submitted a bona fide Proposal that meets the scope, design criteria and

performance specification requirements as set out in the Request for Proposals;

• provided a release to the City; and,

• provided authorization to the City for use of the information and intellectual property contained in its Proposal for the purposes of the Project.

There is no honorarium for participation in the RFQ stage by interested Parties or Respondents.

4.0

REQUEST FOR QUALIFICATIONS

4.1

Purpose of the RFQ

The City expects to shortlist up to three Respondents which have the relevant expertise and capacity to undertake the design and construction of the Project. The City explicitly reserves the right to shortlist fewer Respondents in its sole discretion.

4.2

Contact Person

The information for contacting the Contact Person for the RFQ is described in the Summary of Key Information.

Although Interested Parties may contact the Contact Person by telephone regarding administrative or procedural matters pertaining to the RFQ, any information obtained in such discussions may not be relied upon. Refer to Section 4.6 for additional information related to questions regarding the RFQ.

4.3

Registration of Interested Parties

Interested Parties should register by completing and submitting the Registration Form to the Contact Person in order to:

• receive access to the Data Room;

• receive details concerning the Webcast;

• receive additional information concerning the Project (such as notices of additional information being placed in the Data Room) and the procurement process (including this RFQ phase);

• receive copies of any questions and answers; and,

• receive any Addenda pursuant to this RFQ (all Addenda will also be posted on BC Bid).

Interested Parties are solely responsible for obtaining all information necessary to respond to this RFQ and for ensuring that they have all available information to prepare their Responses. The City is not responsible to any Interested Party or any Respondent for their failure to obtain all necessary information to respond to this RFQ.

4.4

Webcast

A Webcast will be offered to registered Interested Parties at the time and date set out in the Summary of Key Information. The Webcast is viewed online and will include presentations about the Project. Participants will be given an opportunity to ask questions by email during the Webcast and receive answers during the Webcast although the City may choose to respond to some questions through issuance of written questions and answers following the Webcast. A record of the Webcast will be placed in the Data Room.

Participation in the Webcast is optional. Interested Parties which register by submission of the Registration Form will receive sign-on details for participation in the Webcast.

4.5

Data Room

(a) Access

The City has established an electronic Data Room. Background materials for the Project will be available in the Data Room to Interested Parties which have completed and submitted the Registration Form. The Contact Person will provide the password and instructions for accessing the site to Interested Parties which have submitted a Registration Form.

(b) Materials

Materials in the Data Room are not part of this RFQ and are only provided for reference purposes. Interested Parties are responsible for ensuring that they have all of the information necessary to respond to this RFQ and for independently informing and satisfying themselves with respect to the accuracy, relevance and sufficiency of any of the information contained in the RFQ and the Data Room. The City has no obligation to provide Interested Parties with any additional information regarding the Project.

The City does not guarantee or warrant the relevancy, sufficiency, accuracy, appropriateness or completeness of any of the documents, data or information provided either in the Data Room or as part of the RFQ phase of the procurement process. Interested Parties are advised that the contents of the Data Room, including reference concept drawings, will be updated / replaced at the RFP stage.

4.6

Questions Regarding the RFQ

Interested Parties are strongly encouraged to provide any questions in writing. Any questions regarding the RFQ should be sent to the Contact Person by e-mail or fax. Questions will be summarized and the City will forward questions and answers that clarify the RFQ to all registered Interested Parties.

Questions from Interested Parties will be considered provided they are received in writing by the City at least ten calendar days prior to the RFQ Closing Time. The City will attempt to respond to questions within three calendar days of their receipt.

Questions submitted to any person other than the Contact Person will not be answered. Questions and answers are intended to clarify the RFQ. In the event of any inconsistency or ambiguity, the wording of the RFQ shall govern.

If the City determines that, as a result of a question, a change to the RFQ is necessary, an Addendum will be issued and forwarded to registered Interested Parties and posted on BC Bid.

4.7

Addenda

Addenda issued by the city will be provided to all Interested Parties and posted on BC Bid. Addenda are the only means of changing, amending or correcting the RFQ.

Any Addenda issued will supersede and amend the RFQ. Amendments or additions made in any manner other than Addenda will not be binding upon any party.

In order to ensure that Respondents have sufficient time to prepare their Responses, the City will not issue substantive Addenda within seven calendar days of the RFQ Closing Time.

4.8

Exclusivity of Prime Members

No Respondent is permitted to have any interest whatsoever either directly or indirectly in any other Respondent Team.

A Prime Member with one Respondent may provide other Prime Member services and services that are not Prime Member services to that same Respondent.

A Prime Member with one Respondent may provide different Prime Member services to other Respondents. However, a Prime Member is not permitted to provide the same Prime Member services to more than one Respondent.

A Prime Member with one Respondent may provide services that are not Prime Member services to any Respondent.

A Team Member with one Respondent that does not provide Prime Member services may provide those same services to other Respondents.

4.9

Conflict of Interest

Respondents are asked to disclose in their Responses any conflict of interest, real or perceived, which now exists or may reasonably arise in the future, with respect to the Project. In this regard, the following firms and their affiliates are not eligible to participate as members of any Respondent team:

• Braun Geotechnical Ltd.

• B. Larkin & Associates Ltd.

• Collings Johnston Inc.

• Hatfield Consultants

• Context Research

• Catherine Palmer Associates

AECOM Canada Ltd., ND Lea Inc., ISL Engineering and Land Services, EBA Engineering Consultants Ltd., and Delcan Corporation were previously retained to complete preliminary studies concerning the Project. AECOM Canada Ltd., ND Lea Inc., ISL Engineering and Land Services and Delcan Corporation have completed their engagements and are no longer providing professional advisory services for the Project. EBA has prepared the CEAA Screening Report on behalf of the City, and will complete its engagement prior to the RFQ closing date.

AECOM Canada Ltd., ND Lea Inc. now part of MMM Group, ISL Engineering and Land Services, EBA Engineering Consultants Ltd. and Delcan Corporation are not considered to be Restricted Parties. In order to ensure full disclosure and a fair procurement process, all relevant documentation and information specific to earlier work undertaken by these consultants on behalf of the RBRC Program will be posted in the Data Room.

The City has the right to reject any Respondent during the procurement process which, in the sole opinion of the City, now has or may in the future have an actual or perceived conflict of interest. The Fairness Monitor will be asked to review a possible conflict of interest raised by the City or by any Interested Party by written request to the Contact Person. Such requests should include all relevant information concerning the possible conflict of interest and any mitigative steps that are proposed. The requests from an Interested Party should be received by the Contact Person no later than seven calendar days prior to the RFQ Closing Time. Upon receipt, the Fairness Monitor’s determination will be forwarded to the Interested Party by the Contact Person.

5.3

General Criteria for a Successful Respondent

Successful Respondents will have both design and construction experience with major civil infrastructure projects and should, among other things:

 have experience in forming design-build teams to meet complex project challenges;

 have experience managing projects of a similar size, nature and scope; and,

 have demonstrated capability and experience in the design and construction of similar road and bridge projects.

The demonstrated knowledge, experience and capacity should be based on relevant projects that are typically, but not exclusively, projects that involve:

• projects in urban settings on active highways with interrelated and strict traffic management requirements including sophisticated traffic management systems, complex staging and detour requirements and ongoing media / communications relations

• integrated design and construction teams, including design-build teams

• structures over in-service railway tracks

• obtaining approvals from regulatory authorities such as government agencies, municipalities, utility companies, and railroads

• integration of existing provincial and municipal roadworks into the finished work

• protection and relocation of major utilities

• constricted work and staging areas

• creation and implementation of quality management plans

• management of complex environmental issues such as fisheries mitigation / compensation, and sediment and erosion control

• demonstrated success in working with regulatory authorities to obtain environmental approvals for similar local projects

• work site safety programs, and

• innovative solutions that add value to the finished product.

5.4

Response Contents

The content and documentation requirements outlined below should be adhered to. The City may, in its sole discretion, decide to give no further consideration to Responses which fail to provide the requested information. The City may also, in its sole discretion, consider any incomplete Responses or Responses in any format or sequence other than described herein. Each Response should include complete information in responding to the content requested in this Section and the information should be organized according to the headings listed in this Section.

Each Response should include one complete copy of all of the following forms as contained in Appendix 3:

• Respondent Declaration

• Prime Member Declarations (includes commitment of Key Personnel)

• Conflict of Interest Declaration

• Bonding Undertaking

• Insurance Undertakings

Each Response should also include a current copy of a WorkSafeBC clearance letter attesting that all assessments have been paid.

(a) Corporate Information

Provide the Respondent’s full legal name and business address.

The Respondent is the legal entity that will, if requested or invited to do so by the City:

• submit a binding proposal in response to any subsequent RFP; and

The Response cover Letter similar to the specimen in Appendix 3 should be signed by an authorized representative or agent of the Respondent.

Provide documents sufficient to demonstrate that the Respondent is a company that is duly organized, validly existing, legal entity lawfully entitled to carry on business in the Province of British Columbia with the power and capacity to, if requested or invited to do so by the City:

• submit a binding proposal in response to any subsequent RFP; and

• enter into the Design-Build Contract with the City.

A current British Columbia corporate registry number or equivalent extra-provincial registration information in the Respondent’s name is sufficient for this purpose.

Special purpose companies established expressly for the purpose of responding to this RFQ will be considered valid.

(b) Capability to Undertake the Project

Respondents should demonstrate financial capability to undertake this Project by providing the following:

• written confirmation generally in the form contained in Appendix 3 from an insurer that the following coverage will be available for the Project if the Respondent is awarded a contract:

 commercial general liability insurance coverage of not less than $20 million inclusive per occurrence, $20 million general aggregate for bodily injury, death and damage to property including loss of use thereof, product/completed operations liability with a limit of $10 million annual aggregate; and,

 professional liability insurance of not less than $5 million per occurrence and $5 million annual aggregate;

• written confirmation from a surety generally in the form contained in Appendix 3 that the Respondent will be able to obtain a 50% performance bond and a 50% labour and materials payment bond written by a surety or sureties authorized to transact the business of Suretyship in all provinces and territories of Canada if the Respondent is awarded a contract. For the purposes of this section, the minimum bonding amount should be as indicated on the form in Appendix 3.

(c) Team Composition and Organization

Respondents should identify Team Members. As a minimum, the following Team Members should be identified:

At a minimum, this table should include all Prime Members.

• contact information for owner or client representatives on these projects who may be contacted for further information.

(e) Project Understanding and Vision

Respondents should demonstrate an understanding of the Project Objectives and an understanding of the challenges that must be overcome to complete the Project successfully. Accordingly, Respondents should describe:

• their understanding of the Project objectives and challenges that could be encountered; and

• their vision for achieving successful outcomes for the City and the Respondent.

6.1

Evaluation

A public opening of responses to the RFQ will not be held. The City will evaluate each Response using the following matrix:

The City will evaluate the Responses on the basis of the information submitted by each Respondent in response to this RFQ, information obtained in connection with any checks of references cited in the Response and any interviews conducted by the City if the City, in its sole discretion, decides to use Respondent interviews as part of the evaluation process.

In completing the evaluation, the relative strengths of Key Firms, Team Members and Key Personnel will be considered.

A written notice to the Respondent based on the contact information provided in the Response to this RFQ will be used to notify all Respondents shortlisted by the City.

6.2

Clarification of Responses

During the RFQ evaluation process, the City may request any Respondent to provide further information or clarification in regard to any aspect of its Response. All such requests will be forwarded by e-mail or fax to the person designated by the Respondent as its contact. Responses by the Respondent to the request for further information or clarification should be returned by e-mail or fax to the Contact Person by the requested time.

6.3

Interviews

The City may, in its absolute discretion, interview one or more Respondents on one or more occasions in order to obtain explanation or clarification from the Respondents concerning their Response. There is no obligation on the City to interview any or all Respondents.

The City will provide details as early as possible in the evaluation process regarding specific timing of any Respondent interviews, and identifying the Key Personnel that should attend.

6.4

Changes to Team Members or Key Personnel

The Respondent will not substitute or replace any Team Member or Key Personnel identified in its Response at any time after Closing Time and before it is Shortlisted.

If a Respondent proposes to add, delete or change the composition of a Respondent team including Key Personnel or if the Respondent proposes any material change to a Team Member or Key Personnel at any time after shortlisting, the Respondent should notify the Contact Person in writing of such proposed change including sufficient documentation to enable the City to consider the implications of the proposed change. The City, in its sole discretion, may accept the change provided that the Respondent has demonstrated to the satisfaction of the City that the proposed addition, substitution or change will be equivalent or better.

Additions, deletions or changes to the composition of a Respondent team including Key Personnel without the consent of the City as required above may result in disqualification of the Respondent.

6.5

Debriefing

After announcement of the Shortlist of Respondents, upon request, the City will conduct a debriefing for any unsuccessful Respondent. In such a debriefing, only the strengths and weaknesses of that individual Respondent’s Response will be discussed. The City will not disclose or discuss any information, confidential or otherwise, of any other Respondent.

7.0

GENERAL CONDITIONS

7.1

Confidentiality

Information received by Interested Parties as part of the RFQ phase of the procurement process may only be used for the purpose of submitting a Response to the RFQ. This restriction will survive the procurement process. Interested Parties, Respondents and their Team Members may not make any public comment or carry out any activities to publicly promote their qualifications or interest in the Project except as permitted by this RFQ. It the City determines, in its sole discretion, that there has been a breach of that confidence by an Interested Party or a Respondent, the City may decide not to consider the Response of that Respondent further. The City will make public the names of all Respondents. Once the Shortlist of Respondents has been approved by the City, the City will make public the Shortlist of Respondents, their Prime Members and Key Firms.

7.2

Ownership of Responses

All documents including Responses submitted to the City become the property of the City. Documents will be received and held in confidence by the City subject to the Freedom of Information and Protection of Privacy Act (British Columbia).

7.3

RFQ is not an Offer

This RFQ does not constitute an offer to enter into a contract with any party nor does it represent a contract or agreement between Interested Parties and the City. The City is not bound to award a contract to any party. Neither the acceptance of Responses by the City nor execution of a Design-Build Agreement constitutes an approval of any activity or work undertaken by any Interested Party or Respondent.

7.4

Acknowledgements by Respondent

By responding to this RFQ and submitting a Response, the Respondent and all Team Members agree and acknowledge that:

• except as permitted under this RFQ, the Respondent will not substitute or replace any Team Member identified in its Response;

• the Respondent and its Team Members have read, understood and agreed to the provisions of this RFQ;

• the City takes no responsibility for the accuracy, sufficiency or completeness of any information supplied during this stage of the Project; and

7.5

Rights of the City

The City is not bound to evaluate or respond to questions from Interested Parties or Respondents or to evaluate or accept any submission or Response. The City reserves the right, in its sole discretion, to:

• clarify the terms or contents of this RFQ at any time;

• amend this RFQ by Addenda;

• determine a Shortlist of Respondents based on this RFQ;

• verify any and all information regarding a Respondent, whether or not it is contained in the Response, and to conduct any background investigations that it considers necessary in the course of the evaluation of the Responses;

• request clarification of Responses or request and receive further information from any or all Respondents;

• waive any irregularity or deficiency in a Response or any failure to comply with the criteria described in this RFQ that, in the sole discretion of the City, is deemed not to be material; and

• amend the procurement schedule and suspend, postpone or cancel any part or phase of this procurement process at any time for any reason.

7.6

Costs are Responsibility of Respondents

All costs incurred by Interested Parties, Team Members and Respondents in the preparation and submission of a Response will be the responsibility of that Interested Party, Team Member or Respondent including all costs related to all questions and answers, requests for clarification or further information and interviews.

The City shall not be liable for any costs or damages incurred by the Interested Parties, Team Members or Respondents during this RFQ phase. Without limitation, the City is not liable for, and Interested Parties, Team Members and Respondents waive any claim against the City, for any costs, loss, damages or loss of anticipated profits including those that result from: disqualification or rejection of a Response; a Response not being Shortlisted; or, a postponement or cancellation of the RFQ or the procurement process.

The City and its respective representatives, agents, consultants and advisors will not be liable to any Interested Party, Respondent or any Team Member of any Respondent for any claims, whether for costs, expenses, losses or damages, or loss of anticipated profits, or for any other matter whatsoever incurred or sustained by the Interested Party or Respondent in preparing a Response, or any other activity related to or arising out of this RFQ.

7.7

No Collusion

Respondents and their representatives must not communicate, directly or indirectly, with any representatives of any other Respondent regarding their Response. It is the responsibility of each Respondent to ensure these requirements are met.

Interested Parties and Respondents should not contact any of the following persons, directly or indirectly, with respect to the Project or the procurement process:

Throughout this RFQ, terminology is used as follows:

“Addendum” or “Addenda” means each and every written document issued by the Contact Person for the purpose of amending this RFQ;

“City” means the Corporation of the City of Surrey;

“Closing Time” means the time and date identified in the Summary of Key Information before which Responses must be received by the City;

“Contact Person” is the City’s representative for purposes of this RFQ phase of the procurement process;

“Data Room” means the virtual data room identified in this RFQ in which documents and information concerning the Project will be made available to Interested Parties;

“Design-Build Agreement” means the design-build agreement to be executed by the Preferred Proponent and the City for the design and construction of the project;
