1 Definitions:

■ “Performance Night“ is a networking event organised by metapeople GmbH. Among other things, Performance Night is financed by sponsors. These terms set the rights and obligations for both parties. Other terms will not be accepted.

2 Sponsor Obligations:

■ In return, and depending on the agreed services the sponsor has to pay a fee or provide benefits in any kind to metapeople GmbH. ■ The sponsor will pay for the sponsorship within 14 days, based on

the date of the invoice from metapeople.

■ The sponsor hereby warrants the delivery of their company logo in a timely manner and in digital format ready for printing (e.g. as a .eps file). Upon request, further text and graphical material shall be supplied.

3 Obligations of metapeople:

■ metapeople will fulfill the sponsorship services booked by the sponsor.

4 Granting of Rights:

■ Respective parties concede mutual advertising rights for the period of this agreement. An automatic transfer to following metapeople events is not possible. The sponsorship is only valid for the respectively booked metapeople event.

■ Granted advertising rights apply to all media in particular online media but also print media and others.

■ Both parties are allowed to use the name of the other party for personal advertising messages. Such messages have to be approved by the other party who is only allowed to refuse of serious infringement. Acceptance is granted when the other party doesn’t object within 5 working days after receipt of the advertising message draft from the respective party.

■ metapeople is entitled to work with other sponsors. Exclusivity for sponsorship has to be stipulated separately.

TERMS AND CONDITIONS

5 Cooperation:

■ The parties agree to provide each other with all needed

information. Furthermore the parties are obliged to make an effort to promote each other’s image and to refrain from everything which will damage the image, in particular negative statements about the other party. At all times the “Performance Night“ is an independent and autonomous event by metapeople a subsidiary of NetBooster. metapeople is the sole organizer of the “Performance Night“.

6 Duration & Termination:

■ These terms and conditions expire at the end of the “Performance Night“.

■ The use of photo and video material under agreed conditions is valid beyond expiration of this agreement for an indefinite period. ■ The right of either party to terminate for good reasons remain

unaffected.

■ In case of termination of serious infringement by one party the other party has no claim for compensation from these terms and conditions.

■ metapeople has the right to deplete remaining advertising material with the name of the sponsor according to sponsorship regulations for a period of 6 months after termination of this agreement.

7 Miscellaneous:

■ These terms and conditions and any dispute out of it (whether contractual or non-contractual) shall be governed by German law and the parties irrevocably submit to the exclusive jurisdiction of the German court.

■ The parties do explicitly agree that Cologne is place of execution and Duisburg is place of jurisdiction for any dispute out of this agreement.
