1. By signing below, Contractor agrees to adhere to EGIA’s standard of providing superior service and products and to promote energy-efficient residential and / or business upgrades. Contractor shall not engage in any type of fraud, misrepresentation, or unfair or deceptive practices in any form of sales, marketing, or advertising.

2. To maintain EGIA membership eligibility in the TDPUD sponsored program the contractor shall perform and report a minimum of one (1) completed job submitted through the TDPUD residential and/or commercial Energy and Water Conservation Programs within the 12 months of membership and enrollment.

3. Contractor shall possess and maintain in good standing all licenses, certificates, insurance required by state and local laws. 4. Contractor shall provide EGIA with evidence of current contractor licensing.

5. Contractor will maintain a satisfactory rating with the Better Business Bureau. This will be checked yearly or as needed by EGIA. 6. Contractor shall procure and maintain Commercial General Liability Insurance with a limit not less than $500,000/$1,000,000 in

aggregate for bodily injury, property damage and personal injury, Business Automotive Liability with a limit not less than $500,000 each occurrence, and Statutory Workers’ Compensation Insurance. The Contractor shall provide EGIA with a certificate of insurance evidencing such insurance coverage as provided.

7. Contractor will make no specific guarantee of energy savings resulting from the installation of equipment or services rendered, which are not provided, by the equipment manufacturer or authorized state or federal agency.

8. Contractors shall not use EGIA’s corporate name or logo without abiding by EGIA’s logo use guidelines. This includes the Authorized Contractor and GEOSmart logos which are only available to financing approved contractors.

9. Contractor will obtain all legally-required building permits.

10. Contractor agrees to defend, indemnify and hold EGIA, its utility partners or energy efficiency/renewable program sponsors harmless from and against any and all losses, damages, claims and costs arising from or pertaining to the acts or omissions of the Contractor, it’s agents, employees and subcontractors and for any breaches of Contractor’s warranties and obligations under this agreement. 11. The GEOSmart Financing Clearinghouse Program, sponsored by EGIA, is offered as an EGIA member benefit. EGIA does not approve

or decline contractors or customers for the program. All underwriting is performed by EGIA’s financial services partners.

12. EGIA’s financial service providers are solely responsible for providing any credit decisions. EGIA assumes no responsibility for “approving” or “denying” loan applications.
