III.
DE brought forward the list of board needs discussed at the Executive Committee
meeting. The committee considered whether these needs could be met by a board
with fewer members and weighed the pros and cons of a smaller board. We agreed
unanimously that a seven-member board at this time would be a more efficient use of
current community volunteer energy and adequate to meet the needs of board work.
IV.
The committee reviewed the cycle of two- and three-year terms and noticed that the
board is no longer in cycle to insure that a majority of the board will be veteran
members at any given time. ME agreed to develop a new chart for a seven-member
board. The committee asks that board members look at this chart and consider
whether they could adjust their terms.
V.
As two board members’ terms expire this June, it is the committee’s unanimous
recommendation that there be no recruitment for the regular June election.
However, the committee agreed that ongoing recruitment efforts by all board
members continue, especially in the effort to find members outside the immediate
Live Oak community.
The committee unanimously recommends amending the by-laws to reflect a
seven-member board and to define quorum as five seven-members. In reviewing the current
by-laws, the committee noted that the option of one-year extensions for veteran board
members in order to retain an experienced majority of the board was missing. DE
agreed to look into the matter.
