CodeofEthicsandBusinessConduct

(the“OracleCode”orthe“Code”)for

guidanceinaddressingthelegalandeth­

icalissuesencounteredwhile

conductingOraclebusiness.Weuse“Or­

acle”throughouttorefertoOracleCor­

porationandeachofitssubsidiaries.

EmploymentbyOracleissubjecttothe

termsandconditionsestablishedbyyour

localorganization.Aspartofthoseterms

andconditions,youarealsorequiredto

abidebytheorganization­widestandards

setforthinthisCode.ThisCodeisnota

contract,andnocontractisimplied.Ifany

partofthisCodeconflictswithapplicable

law,thelawwillprevail.Ifanypartofthis

Codeisdeemedinvalid,thevalidityand

enforceabilityofitsotherprovisionsshall

NoImproperPayments

Youareprohibitedfromreceiving,

offering,promising,authorizing,direct­

ing,ormakinganybribes,kickbacks,or

paymentsofmoneyoranythingofvalue

Theaboveprohibitionapplieswhether

suchpaymentsgoto:
