Special Meeting Notice

I am writing to provide the following notice of a special meeting of the membership of the congregation of Yorkminster Park Baptist Church to be held on Monday, January 25th at 7

p.m. via Zoom and telephone. The purpose of the m eeting is to consider the

following motion to amend the Yorkminster Park Baptist Church Constitution which if passed will enable us to hold future business meetings via the internet and telephone. The Board of Deacons and the Church Council have sought legal advice on how to address the matter of amending the constitution and after considerable reflection unanimously agreed to present the motion which follows to the congregation on January 25th. PROPOSAL BY THE BOARD OF DEACONS TO AMEND THE CHURCH CONSTITUTION TO PROVIDE FOR VIRTUAL MEETINGS:

Notice of Motion for consideration on January 25th.

WHEREAS a result of the ongoing COVID-19 pandemic, it is necessary to make certain amendments to the Church’s Constitution dated November 25, 2012 (“Church

Constitution”) in order to achieve the following:

(1) authorize holding any future Meetings of Members either on a hybrid basis (being a meeting at which Members can attend either in person or by telephone and/or other electronic means, known as “hybrid meetings”) or, alternatively, entirely by telephone and/ or other electronic means (known as “virtual meetings”), if, given extenuating

circumstances at the time or for any other reason(s), determined appropriate by the Church Council;

(2) authorize attendance of Members at any future hybrid meetings or virtual meetings by teleconference and/or by other electronic means; and

(3) authorize voting by Members at any future hybrid meetings or virtual meetings by means of a telephonic, electronic or other communication facility provided that such facility enables the votes to be gathered in a manner that permits their subsequent verification: BE IT RESOLVED THAT:

1. The Board of Deacons of the Church approves the following amendments to the existing Church Constitution (collectively the “Constitution Amendments”) and recommends to the members of the Church that they adopt them at the Special Business Meeting of the Church on January 25, 2021:

(a) The following new subsection (i) shall be inserted into the Interpretation section of the Church Constitution: “present and voting” means a Member who is either present in person, or, if authorized under this Constitution, is present by teleconference and/or by other electronic means, at a Meeting held or called for any duly authorized purpose. (b) The existing subsection (i) in the Interpretation section of the Church Constitution shall be re-labelled as subsection (j).

(c) Article VI (4), Quorum, shall be amended to read as follows: Fifty Members present either in person, by teleconference and/or by other electronic means shall constitute a quorum at any Meeting. With no quorum a meeting may be adjourned to a time and date within 60 days, chosen by the Chair. Notice of such adjourned meeting shall be given as set out in (2) above.

(d) All references to the words “in person” in the Church Constitution, specifically those set out in Article XX sections 7, 8 and 10 under the heading “Board of Trustees”, shall be deleted in their entirety.

(e) The following new sections 7, 8 and 9 shall be inserted at the end of Article VI, Meetings, of the Church Constitution:

7. Participation at a Meeting by Telephone or Electronic Means Under normal

circumstances, the Church shall hold all Meetings on an in-person basis only. However, if the Church, as determined in the sole discretion of the Church Council in extenuating circumstances, or for any other reason(s) determined appropriate by the Church Council, chooses to make available a telephonic, electronic or other communication facility that permits all participants to communicate adequately with each other during a Meeting, any Member may participate in the Meeting by such alternative means. A person participating in a Meeting by such means is deemed to be present at the Meeting.

8. Meeting Held by Electronic Means: Notwithstanding Section 7 of this Article, the Church Council may determine that the Meeting must be held entirely by means of a telephonic, electronic or other communication facility that permits all participants to communicate adequately with each other during the Meeting.

9. Voting by Electronic Means: Voting carried out by means of a telephonic, electronic or other communication facility at a Meeting, including those referred to in Sections 7 and 8 of this Article, is permitted only if that facility enables the votes to be gathered in a manner that permits their subsequent verification.

(f) The following new subsection (g) shall be inserted at the end of Article XXII, Church Council, of the Church Constitution:

(g) determine in its sole discretion whether, in extenuating circumstances, or for any other reason(s) determined appropriate, the Church should make available at a Meeting a telephonic, electronic or other communication facility that permits all participants to communicate adequately with each other during the Meeting, or whether a Meeting must be held entirely by means of a telephonic, electronic or other communication facility that permits all participants to communicate adequately with each other during the Meeting.
