EXECUTIVE SUMMARY

As part of its business plan to build an exclusive clinic with premium services for up-mid class market, PT. Energi Penta Medika needs visual identity for its clinic, name The

Djakarta Clinic to represent its principle values. Along with the visual identity for branding, PT. Energi Penta Medika also want to make a website as a digital site to introduce their business & services.

8ELAPAN Digital Services will design, develop and build the visual identity and website to help PT. Energi Penta Medika to achieve their success path. This proposal outlines the scope of work, process, and timeline that 8ELAPAN Digital Services proposes for the project, the functionality of the website and related system and details other potential support services.

STRATEGY & PLANNING

PT. Energi Penta Medika has requested the visual identity design with modern and simple style. It also request a live chat features for the website to do online consultation with their customer.

The overall strategy and main objectives of this project is to build an identity to represent their principle values and business strategy through visual logo and website.

Working together, 8ELAPAN Digital Services & PT. Energi Penta Medika will produce a combined strategy to create a one of a kind clinic brand.

8ELAPAN Digital Services will create one of a kind website design and programming it into a website. Information structure (sitemap, content) will be discuss together with PT. Energi Penta Medika. Requested custom advance pictures, such as video or photography will be provide by PT. Energi Penta Medika or will be charge as additional work.

WEBSITE MAINTENANCE

8ELAPAN Digital Services will help PT. Energi Penta Medika to maintain website content and SEO search-ability in internet and manage online consultation (18.00-24.00).

PROJECT FEES & PAYMENT TERMS

8ELAPAN Digital Services is pleased to offer the following estimate for completing the work specified in this proposal of the aforementioned project.

Design, Development & Deployment of the PT. Energi Penta Medika visual identit y, website & related services:

DOWN PAYMENT 30%

BALANCE PAYMENT* 70%

If change orders or other extraneous circumstances arise 8ELAPAN Digital Services and PT. Energi Penta Medika Indonesia will review and determine appropriate pricing f or change order work.

*balance payment will be due 7 days following the completion and deployment of the website and all other related deliverables

CONTACT TERMS

LIMITATION OF LIABILITY: 8ELAPAN Digital Services’ maximum liability for services rendered under this agreement shall be limited to the total fees paid to 8ELAPAN Digital Services for the work provided, notwithstanding the basis upon which the action is taken against the client.

8ELAPAN Digital Services shall not be liable for consequential, special, incidental or exemplary loss, damage or expense including without limitation, loss of profits or opportunities, notwithstanding if 8ELAPAN Digital Services has been advised of their existence. 8ELAPAN Digital Services shall not be liable for any loss or damages of any kind whatsoever caused by obsolescence, delays, Acts of God, acts of war, civil

insurrection or riot, strikes, violence, trespassing of premises by third parties, lockouts or other labor troubles, fire, action of the elements, transportation delays, delays in receipt of equipment and/or materials or any other causes beyond the reasonable control of 8ELAPAN Digital Services.

HOLD HARMLESS: In terms you are proven of negligence and or breach of connection with cooperation performed by 8ELAPAN Digital Services causing claims to 8ELAPAN Digital Services, therefore you shall indemnify and hold 8ELAPAN Digital Services from any claims, liabilities, costs (including the costs of professional advisers and also

including our fees) that are brought against us, that arise out of services provided by 8ELAPAN Digital Services under this Agreement except to the extent that we have been grossly negligent or have been found guilty of willful and intentional misconduct.

CHARGES: Current charges are outlined in this proposal and available upon request. Any increase in charges will be notified, before work is carried out.

PUBLICITY: Neither party shall publish or use any advertising, sales promotions, press releases or other publicity relating to this Agreement or which use the other party’s name, logo, trademarks or service marks without the approval of the other party, which approval shall not be unreasonably withheld. The foregoing notwithstanding, the parties agree that 8ELAPAN Digital Services may publicly refer to PT. Energi Penta Medika as a Client and use Client’s trademark and logo as part of 8ELAPAN Digital Services Client lists both online and offline.

INTELLECTUAL PROPERTY: 8ELAPAN Digital Services protects the intellectual property of clients with the utmost diligence. 8ELAPAN Digital Services retains rights to reuse any general work or code that has application for their other clients and/or was developed for previous clients or for re-use on future client engagements. This includes any works created in the course of the project that are not specified as works-for-hire in this proposal, or are not developed exclusively for the client. This excludes data, images, database information, files, products, customer and network information, digital assets

portion of the account, as well as the right to charge 3% monthly interest on the remaining amounts.

PROTECTION OF PERSONNEL: 8ELAPAN Digital Services makes every effort to hire and retain the best and brightest personnel. If the client hires any personnel of 8ELAPAN Digital Services during a contract or within 1 year of the end of a contract, within 1 year of that employee’s termination of employment with 8ELAPAN Digital Services, then the client agrees to pay 80% of the employee’s previous annual compensation, or 80% of the

employee’s future annual compensation, whichever is greater, to 8ELAPAN Digital

Services. The client also hereby grants access to 8ELAPAN Digital Services for any and all financial or payroll information necessary to ascertain the employee’s future annual compensation within the first year of employment, for the duration of the first year of employment.

MILESTONES & APPROVALS: 8ELAPAN Digital Services retains the right to halt commencement of next stage milestone deliverables until receipt of signed approval documents for major project milestones.

CHANGE LOGS: For website projects that involve several versions and as such is referenced in the deliverables, Change Logs will be provided by 8ELAPAN Digital Services for each version. For website projects with a single version, change logs are only provided upon request and only available when certain project milestones are

delivered and changes have been finalized. If provided as part of the project or upon the acceptance of a client’s request to provide a Change log or logs related to certain

milestones, 8ELAPAN Digital Services will determine the format and timing and delivery of such Change log(s).

NEW SYSTEM BUILD: This contract unless stated otherwise is for the development of a new website and related systems. The website project outlined in this proposal does not include any modifications to the client’s existing website or systems unless otherwise stated explicitly in this contract.

PROJECT CLOSURE: If the client wishes to close and/or abandon the project prior to completion of all deliverables, 8ELAPAN Digital Services reserves the right to retain all design and development work completed prior to project closure.

ASSIGNMENT: This Agreement may not be assigned or transferred by either party (by operation of law, reverse triangular merger or otherwise) without the prior written consent of the other party; provided, however, that either party may, without the prior consent of the other, assign all of its rights under this Agreement to (i) its subsidiary, (ii) a purchaser of all or substantially all of its stock or assets, or (iii) a third party participating in a merger or other corporate reorganization in which the assigning party is a constituent corporation. This Agreement will be binding upon and inure to the benefit of the parties and their

respective successors and permitted assigns. Any purported attempt to assign or transfer this Agreement in violation of this provision will be deemed void.

EXCLUSIVITY: The client specifically agrees that 8ELAPAN Digital Services has full and exclusive working rights within the terms of this agreement. The client specifically agrees to not involve any third parties to the project without 8ELAPAN Digital Services specific consent in writing.

THIRD PARTY USE: The client acknowledges that unless otherwise referenced in the contract, 8ELAPAN Digital Services has not been informed of any intention by the client to use any 3rd parties for work related to any portion and/or portions of the website project.

Additional costs from 8ELAPAN Digital Services may be incurred if the client wishes to engage a third party for work related to the project. If any third party is engaged by the client in relation this project, 8ELAPAN Digital Services will not be responsible for

milestone deliverable dates provided prior to the engagement of the third party particularly if there are any delays related to work performed by the third party.

ADDITIONAL WORK REQUESTS: Should during the course of the project the client request additional work of 8ELAPAN Digital Services, a proposal may be submitted by 8ELAPAN Digital Services to the client for approval. 8ELAPAN Digital Services bears the right to not accept additional work proposal requests during the course of the project and complete the project as laid out in this contract only. Should the client during the course of the project reject any 8ELAPAN Digital Services additional work proposal resulting in the client hiring another company to complete such work, 8ELAPAN Digital Services is under no obligation to assist in the implementation of that work.

PROJECT DELAYS: Regardless of any project delays and/or stops on the part of the client, 8ELAPAN Digital Services will not responsible for the project delays.

CHANGES TO AGREEMENT: The arrangements outlined in this letter will continue in effect from year to year unless we both agree to change them. Any changes to this agreement must be in writing and signed by both parties. This Agreement shall be

governed in all respects by and construed in accordance with the laws of the Republic of Indonesia. If the services outlined are in accordance with your requirements, and if the terms are acceptable, please sign a copy of this letter where indicated and return it to 8ELAPAN Digital Services
