About Cloud Attached Storage
CTERA's Cloud Attached Storage® combines on-premises Network Attached Storage devices
and/or CTERA Agent software with cloud services in a single, integrated solution. File sharing is performed on the local network, while cloud storage services are used for off-site backup and disaster recovery. Automated differential backup and restore functions include the industry's latest block-level de-duplication, compression, and encryption technologies, ensuring secure and efficient synchronization between the cloud storage service and the CTERA appliance or CTERA Agent-installed computer.
About CTERA Mobile
CTERA Mobile is a mobile application for iOS and Android that enables you to do the following:
Upload data from your mobile device to a CTERA Cloud Attached Storage appliance or your CTERA Portal Cloud Drive
Securely download files from your CTERA Cloud Attached Storage appliance or CTERA Portal account via HTTPS, and view them on your mobile device
View .doc, .xls, .pdf, .mp4, .zip, .rar, and other supported file types on your mobile device The app includes a built-in basic text editor, as well as audio recording and upload. You can select and upload multiple photos from your mobile device photo gallery, or upload photos directly from your camera.

Requirements
In order to install and manage CTERA Mobile, you will need an iPhone, iPod Touch, or iPad device running iOS 4.0 or higher. The app is available for free download at the Apple App Store.
The following languages are supported: English, Chinese, Dutch, Finnish, French, German, Indonesian, Italian, Japanese, Korean, Norwegian, Portuguese, Russian, Spanish, and Swedish.

Managing Servers
In order to connect your mobile device to servers, you must define one or more servers on CTERA Mobile.
Adding Servers
CTERA Mobile supports adding the following as servers:
Your CTERA Portal account. Connecting to this type of server enables you to view your
backup files and cloud drive.
Your CTERA Cloud Attached Storage appliance. Connecting to this type of server enables
you to access the files on the appliance.
To add a server
1 In the main screen, tap the icon.

The New Server screen appears.
2 Complete the fields using the information in Server Fields (page 7).
3 Tap Save.

Name Enter a name for the server.
Server Address Do one of the following:
To connect to a CTERA Portal account, enter the CTERA Portal's DNS name.
To connect to a CTERA Cloud Attached Storage appliance directly on the LAN, enter the appliance's device name or IP address.
To connect to a CTERA Cloud Attached Storage appliance via the CTERA Remote Access service, enter the appliance's DDNS name as it appears in the appliance's Cloud Services
> Status page. The appliance must be subscribed to the
Dynamic DNS service, and Remote Access must be enabled.
Username Enter your username for connecting to the server.
Password Enter your password for connecting to the server.
Editing Servers
To edit a server
1 In the main screen, tap Edit. The servers become editable.

3 Complete the fields using the information in Server Fields (page 7).
4 Tap Save.
The main screen reappears.
5 Tap Done.
Deleting Servers
To delete a server
1 In the main screen, tap Edit. The servers become editable.

A confirmation message appears.

The server is deleted.

Reordering Servers
To reorder server connections
1 In the main screen, tap Edit. The servers become editable.
2 Tap the icon to the right of a server, and drag it to the desired location.

To connect to a server
In the main screen, tap the desired server.
The cloud file manager appears displaying the files and folders on this server.
You can use the cloud file manager to mange these files and folder, as described in
Managing Files and Folders on a Server (on page 11).
You can also access the local file manager to manage files and folders on your mobile device, as described in Managing Local Files and Folders (on page 27).
Disconnecting from a Server
To disconnect from a server
1 If you are currently browsing the local file manager, exit it. See Exiting the Local File Manager (on page 28).
The cloud file manager appears.
2 In the cloud file manager, tap CTERA.

Viewing Files in the Default Application
To view a file
1 In the cloud file manager, do one of the following: Tap the desired file.
Touch and hold the desired file, then tap View in the popup menu. The file opens in the default app for its file type.
2 Tap the folder name to return to the cloud file manager.
Viewing Files in a Specific Application
If desired, you can open files in applications other than the default.
To view a file in an application other than the default
1 In the cloud file manager, touch and hold the desired file. A popup menu appears.
2 Tap Open with. A menu appears.
The default application for opening files of this type appears first.
3 To choose a application other than the default, tap Open In. A list of additional applications appears.

The files opens in the selected application.
5 Tap the folder name to return to the cloud file manager.
Viewing File Properties
To view a file's properties
1 In the cloud file manager, touch and hold the desired file. A popup menu appears.
2 Tap Properties.
The Information screen appears with the file's properties.
3 Tap the folder name to return to the cloud file manager.
Selecting Files
Selecting files is a preliminary step to downloading, emailing, and deleting multiple files.
To select files
1 In the cloud file manager, tap the icon next to each desired file.
The icon changes to , and the number of selected files is displayed at the top of the screen.
2 To select all files in the current folder, do the following:

A popup menu appears.
b Tap Select all.
All files in the current folder are selected.
3 To unselect all selected files, do the following:
a Tap the icon at the top of the screen. A popup menu appears.
b Tap Unselect all. All files are unselected.
Moving Files
To move a file
1 In the cloud file manager, touch and hold the desired file. A popup menu appears.
2 Tap Move.
The Destination screen appears.
3 Browse to the desired folder, then tap Current. The file is moved to the desired folder.

Copying Files and Folders
To copy a file or folder
1 In the cloud file manager, touch and hold the desired file or folder. A popup menu appears.
2 Tap Copy.
The Enter new name for the duplicate resource dialog box appears.
3 Enter a name.
4 Tap Copy.
A copy of the original file or folder is created with the specified name.
Renaming Files and Folders
To rename a file or folder
1 In the cloud file manager, touch and hold the desired file or folder. A popup menu appears.
2 Tap Rename.
The Enter new name dialog box appears.
3 Enter a name.
4 Tap Rename.

Bookmarking Folders
To bookmark a folder
1 In the cloud file manager, tap the icon. The Bookmarks page opens.
2 Tap the icon to add a bookmark for the current folder. The bookmark is created.
Emailing Files
To email a file
1 In the cloud file manager, do one of the following: To email an individual file or folder:
1 Touch and hold the desired file or folder. A popup menu appears.

To email multiple files:
1 Select the desired files.

2 Tap the icon at the top of the screen. A popup menu appears.
3 Tap Email marked files.
An email opens with the file(s) attached, as well as a shortcut to the file(s).
2 Enter the recipient's email address and any other details desired.
3 Tap Send.

Emailing Shortcuts to Files and Folders
To email a shortcut to a file or folder
1 In the cloud file manager, touch and hold the desired file or folder. A popup menu appears.
2 Tap Email shortcut.
An email opens with the shortcut to the file or folder.
3 Enter the recipient's email address and any other details desired.
4 Tap Send.
The shortcut is emailed to the specified recipient.
Adding Folders
To add a new folder
1 In the cloud file manager, tap the icon. The Enter new folder name dialog box opens.

The new folder is created.
Downloading Files and Folders to the Device
To download a file or folder
1 In the cloud file manager, do one of the following:
To download an individual file or folder, touch and hold the desired file or folder. To download multiple files:
1 Select the desired files.
See Selecting Files (on page 13).
2 Tap the icon at the top of the screen. A popup menu appears.
2 Tap Download.
A confirmation message appears.
3 Tap Download.
The file or folder is downloaded to your mobile device.
Creating and Uploading Images to the Server
You can take a picture and immediately upload it to the server.To take a picture and upload it

The camera opens.
2 To reverse the view so that the camera is aimed at you, tap the icon.
3 Tap the icon to snap picture. The Preview screen appears.
4 If you are not satisfied with the picture, do the following:
a Tap Retake.
b Repeat the previous step.

6 Enter a name and tap Upload.
A progress bar appears. Tap Cancel to cancel the upload at any time.

Uploading Existing Images to the Server
You can upload existing images from your mobile device to the server.
To upload an existing image
1 In the cloud file manager, tap the icon. The Photos screen appears.
2 Browse to the image you want to upload, and tap it.
The Enter a name for the uploaded resource dialog box appears.
3 Enter a name and tap Upload.
A progress bar appears. Tap Cancel to cancel the upload at any time. The image is uploaded.

Browsing Images in the Current Folder
To browse images in the current folder
1 In the cloud file manager, tap the icon. An image browser opens.
2 Do any of the following:
To delete the current image, tap the icon.
To view the current image full screen, tap the icon. To view information about the current image, tap the icon.

To return to the image browser, click the image name. To move to the next image, flick the screen.
3 To exit the image browser, click the folder name.
Deleting Files and Folders
To delete a file or folder
1 In the cloud file manager, do one of the following: To delete an individual file or folder:
1 Touch and hold the desired file or folder. A popup menu appears.
2 Tap Delete.
To delete multiple files:
1 Select the desired files.

Accessing the Local File Manager
To access the local file manager
1 Access the cloud file manager, by connecting to a server. See Connecting to a Server (on page 10).
2 In the cloud file manager, tap the icon.
The local file manager opens displaying files and folders on your mobile device.
Exiting the Local File Manager
To exit the local file manager
Tap Done.

To view a file
1 In the local file manager, tap the desired file. The file opens in the default app for its file type.

To add a new folder
1 In the local file manager, tap the icon. The Enter new name dialog box opens.
2 Enter a folder name in the field provided, then tap Create. The new folder is created.

To upload a file or folder
1 In the local file manager, do one of the following:
To upload an individual file or folder, touch and hold the desired file or folder. To upload multiple files:
1 Select the desired files.

2 Tap the icon at the top of the screen. A popup menu appears.
2 Tap Upload.
A progress bar appears. Tap Cancel to cancel the upload at any time. The file(s) or folder is uploaded.
Creating and Uploading Text Files to the Server
You can create text files and immediately upload them to the server.To create and upload a new text file
1 In the local file manager, tap the icon. The Text Editor screen opens.

2 Tap in the window and enter text.
3 To copy text, do the following:
a Select the text to copy, by doing one of the following:
To copy a single word, double-tap the desired word, then tap Select in the popup menu that appears.
To copy all text, double-tap anywhere in the document, then tap Select All in the popup menu that appears.
b Tap Copy in the popup menu that appears.
4 To cut text, do the following:
a Select the text to cut, by doing one of the following:
To cut a single word, double-tap the desired word, then tap Select in the popup menu that appears.
To cut all text, double-tap anywhere in the document, then tap Select All in the popup menu that appears.
b Tap Cut in the popup menu that appears.
5 To paste text, double-tap in the place where you want to paste the text, then tap Paste in the popup menu that appears.
6 To change the text alignment, double-tap anywhere in the text document, then tap the icon in the popup menu that appears.
7 To view suggested spellings for a word:
a Double-tap the desired word, then tap Suggest in the popup menu that appears. A popup appears with suggested spellings.
b To choose one of the suggested spellings, tap on it.
8 To configure the text file's encoding:

The Encoding screen opens.
b Tap the desired encoding: UTF-8, ASCII, ISO 8859-1, or Unicode.
c Tap Done.
9 Tap Save.
The Enter new name dialog box opens.
10 Enter a name for the file, then tap Save.
The file is saved, and the Upload button appears.
11 Tap Upload.
A progress bar appears. Tap Cancel to cancel the upload at any time. The file is uploaded.

12 Tap Close.
Editing Text Files
To edit a text file
1 In the local file manager, touch and hold the desired file. A popup menu appears.
2 Tap Edit file.
The file opens in the Text Editor.
3 Edit the file as described in Uploading New Text Files to the Server (see "Creating and
Uploading Text Files to the Server" on page 34).
Recording and Uploading Audio Files to the Server
You can recording audio files and immediately upload them to the server.To create and upload an audio file
1 In the local file manager, tap the icon. The Audio Recorder opens.

Recording starts.
3 To pause recording, tap the button. Recording is paused.
4 To resume recording, tap the button. Recording is resumed.
5 When you have finished recording, tap the button.
Recording ends. The length of the recording is displayed, as well as the file size.
6 To play back your recording, tap the button.
7 To overwrite your recording with a new recording:
a Tap the button again. A confirmation message appears.
b Tap Overwrite.
c Re-record until you are satisfied with the recording.

9 Tap Done.
The Enter a name for the audio resource dialog box appears.
10 Enter a name and tap Update. The audio file is saved.
Playing Audio Files
To play an audio file
1 In the local file manager, touch and hold the desired file. A popup menu appears.
2 Tap Play.
A popup message appears.
3 Tap Play.
4 To stop the playback, tap Stop.
5 Tap Close.
Importing Media Files
You can import all image and video files, out of a group of selected files, into the mobile device’s media gallery application.
To import media files
1 In the local file manager, select the desired files. See Selecting Files (on page 30).
2 Tap the icon at the top of the screen. A popup menu appears.
3 Tap Import media files.
A confirmation message appears.

The image files are imported into the mobile device’s media gallery application.
Browsing Images in the Current Folder
To browse images in the current folder
1 In the local file manager, tap the icon. An image browser opens.
2 Do any of the following:
To delete the current image, tap the icon.
To view the current image full screen, tap the icon. To view information about the current image, tap the icon.

To return to the image browser, click the image name. To move to the next image, flick the screen.
3 To exit the image browser, click the folder name.
Compressing Files and Folders
This procedure is relevant for uncompressed files and folders only.
To compress a file or folder
1 In the local file manager, touch and hold the desired file or folder. A popup menu appears.
2 Tap Compress.
The file or folder is instantly compressed into a *.zip file.
Uncompressing Files
This procedure is relevant for compressed files only.
To extract a file
1 In the local file manager, touch and hold the desired file. A popup menu appears.

A subfolder is created with the same name as the compressed file, and the file's contents are extracted to it.
Deleting Files and Folders
To delete a file or folder
1 In the local file manager, do one of the following: To delete an individual file or folder:
1 Touch and hold the desired file or folder. A popup menu appears.
2 Tap Delete.
To delete multiple files:
1 Select the desired files.

2 Tap the icon at the top of the screen. A popup menu appears.

1 In the main screen, tap the icon. The Settings screen appears.
2 In the PIN lock row, drag the slider to 0. The PIN is unlocked.
3 In the PIN row, tap the right side of the screen. A message appears warning you about lost PINs.

3 To set the default single-tap action, do the following:
a In the Single tap action row, drag the slider to 0. The default single-tap action setting is unlocked.

To specify that a single tap on a file should display the file content, tap View. To specify that a single tap on a file should download the file to your mobile device, tap Download.

4 To set the hidden files settings, do one of the following in the Show hidden files row: To display hidden files, drag the slider to 1.

5 To set the shared download folder settings, do one of the following in the Shared
download folder row:
To use a shared download folder for all servers, drag the slider to 1. Downloaded files will be stored in a single shared folder for all servers. To use a separate download folder for each server, drag the slider to 0. Downloaded files will be stored in a separate folder per server.

When this setting is enabled (set to 1), if there are documents with the same name on different servers, then upon download to your mobile device, they will overwrite each other.
6 To set the default audio file format, do the following:

b Tap the desired file format: AAC, CAF, or WAV. The default is WAV.
c Tap Save.

CTERA End User License Agreement
This End User License Agreement (the "Agreement") by and between the individual installing and/or using the Software (as such term is defined below) and any legal entity on whose behalf such individual is acting (collectively, "You" or "you") and CTERA Networks Ltd. ("CTERA"), governs Your use of the object code copy of the software program embedded or included in the hardware product distributed with this Agreement, together with any associated media, computer software, and all accompanying manuals and other documentation, and together with all enhancements, upgrades, and extensions thereto that may be provided by CTERA or its lawful vendors to You from time to time, unless otherwise indicated by CTERA (the "Software"). PLEASE NOTE: BY SETTING UP OR OTHERWISE USING THE SOFTWARE YOU INDICATE YOUR ACKNOWLEDGMENT THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY AND COMPLY WITH ITS TERMS. YOUR WRITTEN APPROVAL IS NOT REQUIRED FOR THE VALIDITY OR ENFORCEABILITY OF THIS AGREEMENT. IF YOU DO NOT AGREE YOU MUST NOT SETUP OR USE THE SOFTWARE, AND YOU MAY RETURN THE PRODUCT, INCLUDING ALL PACKAGING, MEDIA, DOCUMENTATION, AND PROOF OF PAYMENT TO THE PLACE OF PURCHASE FOR A REFUND, PROVIDED THAT THE RETURN IS MADE WITHIN TEN (10) DAYS OF THE DATE OF PURCHASE.
1. License to Use Software
1.1 Subject to proper payment to CTERA and Your compliance with the terms and conditions of this Agreement, CTERA hereby grants You a non-exclusive, non-sublicensable, non-transferable license to install and use the Software, solely for Your internal purposes, in accordance with the terms set forth in this Agreement and subject to any further restrictions in CTERA documentation, and solely on the CTERA appliance on which CTERA installed the Software, or, for stand-alone Software, solely on a single computer running a validly licensed copy of the operating system for which the Software was designed. You agree that, except for the limited, specific license rights granted in this section 1, You receive no license rights to the Software. 1.2 Unless otherwise authorized in writing by CTERA, You undertake not to (and not to allow third parties to) (1) sublicense, lease, rent, loan, or otherwise transfer the Software to any third party, (2) modify, adapt, reverse engineer, or prepare derivative works from the Software, (3) allow others to use the Software and use the Software for the benefit of third parties, (4) develop any other product containing any of the concepts and ideas contained in the Software, (5) remove, obscure, or alter CTERA's or any third party's trademarks or copyright or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Software, and (6) make unauthorized copies of the Software (except as necessary for backup purposes).
1.3 CTERA has no obligation to provide support, maintenance, upgrades, modifications, or new releases of the Software under this Agreement. You may contact CTERA or its authorized resellers to determine the availability of such support, maintenance, distribution or upgrade of the Software, and the fees, terms and conditions applicable thereto.

2.1 You acknowledge that CTERA or other third parties own all right, title and interest, including all intellectual property rights, in and to the Software, portions thereof, or software or content provided through or in conjunction with the Software. Except for the license granted in accordance with Section 1 of this Agreement, all rights in and to the Software are reserved, no licenses, implied or otherwise, are granted by CTERA, You are not authorized to use CTERA’s trademarks, service marks, or trade dress, and You agree not to display or use them in any manner.
2.2 If You have comments on the Software or ideas on how to improve it, please contact us. By doing so, You also grant CTERA a perpetual, royalty-free, irrevocable, transferable license, with right of sublicense, to use and incorporate Your ideas or comments into the Software (or third party software, content, or services), and to otherwise exploit Your ideas and comments, in each case without payment of any compensation.
3. GPL License
The Software makes use of free and open source programs (the "Free Programs"), licensed under the following license agreements: GNU General Public License (GPL), version 2 or later:www.gnu.org/licenses/gpl.html, GNU Lesser General Public License (LGPL), version 2.1 or later: www.gnu.org/licenses/lgpl.html, Apache License, Version 2.0 or later: www.apache.org/licenses/LICENSE-2.0.
Notwithstanding anything to the contrary in this Agreement, You may redistribute the Free Programs and/or modify them under the terms of the corresponding license agreement. The Free Programs are distributed in the hope that they will be useful, but WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE. To obtain the source code for the Free Programs subject to the terms of the corresponding license agreement, please send a request by mail to: Open Source Requests, CTERA Networks Ltd, Imber 24, Petach Tikva, Israel.
4. Acceptable Use and Conduct
You shall use the Software in compliance with all applicable laws, ordinances, rules and regulations, shall not violate or attempt to violate CTERA’s system or network security, and shall not misuse the Software in any way. You shall be responsible for Your conduct while using the Software.
5. Term and Termination
CTERA reserves the right to terminate this Agreement at any time without notice, for any reason, including if You breach or fail to comply with any of the terms and conditions of this Agreement. You agree that, upon such termination, You will cease using the Software and either destroy all copies of the Software and CTERA documentation or return them to CTERA. The provisions of this Agreement, other than the license granted in section 1 ("License to User Software"), shall survive termination.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS”. CTERA AND CETRA'S LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SOFTWARE. EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, CTERA AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR USAGE OF TRADE. CTERA AND ITS LICENSORS DO NOT WARRANT THAT THE SOFTWARE WILL FUNCTION AS DESCRIBED, WILL BE UNINTERRUPTED OR ERROR FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT THE DATA YOU STORE BY USING THE SOFTWARE WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED. NO ADVICE OR INFORMATION OBTAINED BY YOU FROM CTERA OR FROM ANY THIRD PARTY OR THROUGH THE SOFTWARE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. YOU UNDERSTAND AND AGREE THAT YOU USE THE SOFTWARE, AND ALL THIRD PARTY SOFTWARE OR SERVICES MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE SOFTWARE, AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE USE OF THE SOFTWARE AND SUCH THIRD PARTY SOFTWARE AND SERVICES. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. 7. Limitation of Liability
NEITHER CTERA NOR ANY OF ITS LICENSORS SHALL BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF CTERA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) IN CONNECTION WITH THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, ANY SUCH DAMAGES RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SOFTWARE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; OR (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT. IN ANY CASE, CTERA'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO CTERA FOR THE SOFTWARE. THE SOFTWARE IS NOT INTENDED FOR USE IN CONNECTION WITH ANY INHERENTLY DANGEROUS APPLICATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
8. Indemnification
8.1 You shall indemnify, defend and hold CTERA, its affiliates and licensors, each of its and their business partners and each of its and their respective employees, officers, directors and representatives, harmless from and against any and all claims, losses, damages, liabilities, judgments, penalties, fines, costs and expenses (including reasonable attorneys fees), arising out of or in connection with any claim arising out of (i) Your use of the Software in a manner not authorized by this Agreement, and/or in violation of the applicable restrictions and/or applicable law, (ii) Your violation of any term or condition of this Agreement or any applicable additional policies, or (iii) Your or Your employees’ or personnel’s negligence or willful misconduct.
8.2 CTERA shall promptly notify You of any claim subject to indemnification; provided that CTERA's failure to do so shall not affect Your obligations hereunder, except to the extent that CTERA's failure to promptly notify You materially delays or prejudices Your ability to defend the claim. At CTERA's option, You will have the right to defend against any such claim with counsel of Your own choosing (subject to CTERA's written consent) and to settle such claim as You deem appropriate, provided that You shall not enter into any settlement without CTERA's prior written consent and provided that CTERA may, at any time, elect to take over control of the defense and settlement of the claim.
9. Miscellaneous Provisions
9.1 CTERA reserves the right at any time to amend this Agreement in its sole discretion. CTERA will use commercially reasonable efforts to notify You of any such amendment, either by sending an email to the email address listed in Your subscription or by posting a message on CTERA's website. In no event will CTERA be liable for a failure to provide You with such notice. This Agreement, as amended, will be effective 10 days after the posting of any amended terms on CTERA's website. If You do not agree to any amendment to this Agreement, You must notify CTERA the license to the Software granted herein will be terminated.
9.2 The Software may be subject to export control laws of the State of Israel and/or may be subject to additional export control laws applicable to You or in Your jurisdiction. You shall not ship, transfer, or export the Software into any country, or make available or use the Software in any manner, prohibited by law. You warrant and agree that You are not: (i) located in, under the control of, or a national or resident of Cuba, Iran, North Korea, Syria or Sudan, or (ii) on the U.S Treasury Department list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders.
9.3 This agreement will be governed by and construed in accordance with the laws of the State of Israel, without giving effect to any conflict of laws and provisions that would require the application of the laws of any other jurisdiction.
9.4 All disputes arising out of this Agreement will be subject to the exclusive jurisdiction of the competent courts of Tel Aviv, Israel, and the parties agree and submit to the personal and exclusive jurisdiction and venue of these courts, except that nothing will prohibit CTERA from instituting an action in any court of competent jurisdiction to obtain injunctive relief or protect or enforce its intellectual property rights.
9.5 The failure of CTERA to exercise or enforce any right or provision of this Agreement does not constitute a waiver of such right or provision. If for any reason a court of competent jurisdiction finds any provision or portion of this Agreement to be unenforceable, the remainder of this Agreement will continue in full force and effect.

9.6 This Agreement constitutes the entire agreement between CTERA and You with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of this Agreement will be effective only if in writing and signed by CTERA.
9.7 You may not assign or transfer any of Your rights or obligations under this Agreement to a third party without the prior written consent of CTERA. CTERA may freely assign this Agreement. Any attempted assignment or transfer in violation of the foregoing will be void.
