DIREITO GV GLOBAL LAW PROGRAM

DIREITO GV - Fundação Getulio Vargas São Paulo Law School - believes in an enabling system of preparation of new bachelors of law which is different from the models traditionally observed in other law schools, public or private.

Only an innovative model delivers dynamic professionals, with an entrepreneurial profile, and prepared to act not only in different law areas, but also in important issues concerning Economics, Accounting, Finance, Business Administration, among other areas where Fundação Getulio Vargas

has already been recognized as a paradigm of excellence.

To develop this new law professional, the project that envisioned DIREITO GV had to be, by definition, innovative. As a result, more than restructuring the current law teaching model, DIREITO GV also has the purpose of consolidating itself as an alternative of content and form to the traditional curriculum. In this sense, among other initiatives, DIREITO GV was created the Global Law Program.

The DIREITO GV Global Law Program was designed for international and FGV students. This program aims to introduce foreign students to the Brazilian Legal System and to promote a broad debate on issues of global relevance in a Brazilian perspective. The Global Law Program The program is divided in two terms with a total of four disciplines. Exchange students are supposed to attend three of these disciplines1. Moreover, one of these disciplines is mandatory for foreign students: Introduction to the

Brazilian Legal System. Each term will last two months.

In addition to these disciplines DIREITO GV will offer a series of short-term courses on contemporary issues taught in English. These short-term courses will be conducted by both foreign and DIREITO GV

professors.

Finally, exchange students at DIREITO GV will be allowed to attend disciplines taught in English offered by the FGV Business School.

INTRODUCTION TO THE BRAZILIAN LEGAL SYSTEM 30h/a

Program:

The main object of this course is to introduce foreign students to the Brazilian Legal System. The course is divided in three sections:

1) After a brief overview of the main features of the 1988 Constitution, the course will focus in our system of constitutional review, especially on the role of the Supreme Court. Through a small number of the Supreme Court decisions, students will have the opportunity to understand issues about fundamental rights, separation of powers and federalism. The course will certainly have a comparative perspective, to help students understand the peculiarities of the Brazilian system vis-à-vis their own constitutional systems.

2) The course includes two classes with an overview on Brazilian Private Law. Its main target it to show the Civil Law based structure and origins of Brazilian Law. The classes will focus mainly on Brazilian Contract Law as it is regulated both in the Civil Code and Consumer Protection Code

3) Overview of the basic concepts underlying Brazilian tax law. Subjects covered in this introductory course include the assignment of federal and subnational taxes, the main principles and rules of individual and corporate taxation and the tax law treatment of inbound and outbound transactions and investments. Special emphasis is placed on selected issues of Brazilian taxation with an international impact

Program:

The course will provide a thorough view of some Brazilian capital market aspects, with specific emphasis on secondary markets. After the 2008 global financial crises, the many problems involving derivatives revealed that structured transactions are far from ideal and regulation of risk management and investments should be reconsidered. The course will cover the regulatory structure of the market for derivatives and analyze the present setting for private equity and takeovers in Brazil. The main players and structures, checks and balances and the applied principles will be studied from a Brazilian perspective.

REGULATION AND COMPETITION POLICY IN INFRASTRUCTURE

SECTORS: THE BRAZILIAN REGULATORY REFORM 30h/a PROFESSOR(S)

PROGRAM:

This course will present an overview of the regulatory reform implemented in Brazil in the last 15 years. We will discuss the changes in the role of the State in infrastructure sectors, focusing on the transition from a development model based on state owned enterprises (SOEs) to a model in which the private entities play an important role in implementing and managing infrastructure projects. The course will address different institutional choices in regulatory reform and will present an overview of some of the main changes implemented in Brazil. Also, the classes will discuss the interaction of

SOCIAL REPRESENTATIONS OF LAW IN BRAZIL 30h/a

PROGRAM:

Social representations of Law are elemental to the way legal institutions are shaped and function. In Brazilian history, different representations have led to the emergence of competing, sometimes antagonistic views, on the role of the judicial system. By examining legal documents, art works and mass media productions, this course examines the way historical conditions have impacted the social perception of Law in Brazil and the assessment of its contribution to the fostering of political and economic development.
