End User License Agreement
IMPORTANT INFORMATION: PLEASE READ THIS LICENSE CAREFULLY BEFORE DOWNLOADING THIS BOOK. BY DOWNLOADING THIS BOOK, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF
THIS AGREEMENT, DO NOT DOWNLOAD THIS BOOK. The International Children's Digital Library Foundation
("ICDL") has obtained a license for this book (the "Book" as further defined below). This Book reflects a culmination of effort to create the world's most comprehensive multicultural digital library of outstanding children's books in order to provide children around the world with the opportunity to access literature from different cultures without cost. Users access this and other Books via a browser, which are generally resident on servers controlled by ICDL or its designees ("ICDL Servers"). In certain geographic areas, however, ICDL is unable to make the Books widely available due to limited or no Internet connectivity. To address this issue, ICDL is allowing end users to make and retain one (1) digital copy of this Book on their local machine for personal use. In order to download a Book, end users must agree to be bound by the terms and conditions set out in this license agreement (the "Agreement").
1. Definitions. Capitalized terms have the meanings set out below. Other capitalized terms are defined in the context in which they are used:
1.1 "Authorized User" means an end user who has agreed to the terms and conditions of this Agreement.
1.2 “Book” means any literary work that ICDL has expressly made available for download to Authorized Users via the Internet.
1.3 "You" or "Your" means and refers to an Authorized User under this Agreement. 2 License Grant. Subject to the terms and conditions of this Agreement, ICDL hereby grants to You a royalty free, nonexclusive, nontransferable license to make and retain one (1) digital copy of the Book on Your local machine solely for personal use, and such use is limited to reading the digital copy of the Book offline.
2.1 Authorized User Acknowledgements. In connection with the grant of rights set out in this Section 2 (License Grant), You acknowledge that you have no other rights besides those expressly set forth in Section 2 (License Grant) including, but not limited to, no right, title or interest in this Book or any copyright, patent, trademark or other
intellectual property rights embodied or used in connection with this Book.
2.2 Restrictions. You shall not yourself, or through any other party: (i) sell, lease, license or sublicense the Book, (ii) decompile, disassemble, or reverse engineer the Book, in whole or in part, or (iii) allow access to the Book by any third party other than an Authorized User.
3 No Warranty. The Book is provided "AS IS" without warranty of any kind. Further, ICDL does not warrant, guarantee or make any representations regarding the use of, or the results of the use of, the Book in terms of correctness, accuracy, reliability, currentness, or otherwise. ICDL EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. ICDL SHALL NOT BE HELD RESPONSIBLE FOR ANY LIABILITY TO ANY PARTY ARISING OUT OF YOUR USE OF THE BOOK.
4 Limitation of Liability. IN NO EVENT WILL ICDL, ITS AGENTS, AFFILIATES, OFFICERS, DIRECTORS OR SHAREHOLDERS BE LIABLE FOR LOST PROFITS, OR FOR ANY INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, EVEN IF ICDL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF AN ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREUNDER.
5 Authorized User Misuse. In the event that an Authorized User uses the Book or any related services in a manner not expressly authorized by this Agreement and such use gives rise to claims of infringement by a third party (a "Third Party Misuse Claim"), then the Authorized User shall defend, indemnify and hold ICDL harmless from cost or expense (including reasonable attorneys’ fees) arising from such Third Party Misuse Claim. ICDL shall give the Authorized User reasonable notice of and shall have the option to undertake and conduct the defense of any such Third Party Misuse Claim.
6 Term and Termination.
6.1 Term. This Agreement begins on the date You signify Your assent to its terms and conditions, by clicking "I accept" prior to downloading the Book. This Agreement will continue in force for as long as You comply with its terms and conditions, unless earlier terminated in accordance with Section 6.2 (Termination). 6.2 Termination. You may terminate this Agreement at any time by ceasing use the Book and any related services. ICDL may terminate this Agreement for convenience upon giving You reasonable notice by (i) posting a notice of termination on its website:
www.childrenslibrary.org ("Website"), or (ii) if an email address was provided during registration, contacting you directly through the email address You provided during your registration. Without prejudice to ICDL's other rights, this Agreement will terminate immediately, and without need for notice, if You fail to comply with the terms and conditions of this Agreement or the Website's Terms of Use. Upon termination for any cause, (i) You must cease all use of this Book and every other Book in your possession, (ii) You must destroy any and all copies of any Book(s) in your possession, and (iii) the following provisions shall survive: Section 4 (Limitation of Liability) and Section 5 (Authorized User Misuse) and Section 7 (General).
7 General. This Agreement is governed by the laws of the Commonwealth of Massachusetts and shall inure to the benefit of ICDL and its successors and assignees. You hereby consent to the personal
jurisdiction of, and venue in, the state or federal courts located within the county in which ICDL is located. Any notice required or permitted to be given under this Agreement shall be delivered by email to the email address You provided during your registration. Notice so given shall be deemed effective when received. You shall provide ICDL with an updated email address should your email address change from that which you provided in your
registration. You may not assign this Agreement or any right granted to You herein without the prior written consent from ICDL, but ICDL may assign this Agreement at any time without your consent. Waiver of breach of any provision of this Agreement shall not be deemed a waiver of that provision or any other provision. If any provision of this Agreement is held to be invalid or unenforceable for any reason, the remaining provisions will continue in full force without being impaired or invalidated in any way. You and ICDL agree to replace any invalid provision with a valid provision which most closely approximates the intent and economic effect of the invalid provision. In the event that this Agreement is translated into a language other than English and a discrepancy arises between the English version and the other version, the English version shall control. This Agreement constitutes the whole and entire agreement between You and ICDL with respect to the subject matter hereof and no verbal or written commitments not referenced herein shall apply. Any modification or amendment to this Agreement shall be effective only if reduced to writing and signed by a duly authorized representative of ICDL and You.
