Starbucks College Achievement Plan Program Document

Purpose of Program

The Starbucks College Achievement Plan (“CAP” or the “Program”), has been developed for Starbucks partners to provide them with an opportunity for high quality undergraduate

education. This Program was developed in conjunction with Arizona State University (“ASU”) whereby Eligible Partners may choose from any of the online-only bachelor’s degree programs offered through ASU Online.

This document describes the components of the Program, which consists of:

(a) a CAP Scholarship for Starbucks partners, along with the opportunity to work with ASU to determine eligibility for additional loans and grants and other sources of funding; (b) a CAP Reimbursement grant for periodic reimbursement of tuition and mandatory fees

for Starbucks partners who are considered by ASU to be junior or senior students; and (c) highlights of the Starbucks Education Assistance Plan; which, subject to statutory

limitations, provides tax-free educational assistance benefits under section 127 of the Internal Revenue Code ("Code").

Benefits under the Program, as described below, are available only with respect to ASU Online courses and online academic programs leading to a bachelor's degree.

Benefits provided to Eligible Partners under the Program are subject to all terms and conditions set forth in this document and, in the case of CAP Reimbursement grants, the terms and conditions set forth in the Starbucks Educational Assistance Plan.

Effective Date

This Starbucks College Achievement Plan is generally effective as of June 15, 2014.

Eligibility and Participation

Program Eligibility

A partner must satisfy each of the following requirements in order to be eligible for and participate in the Program (“Eligible Partner”):

1. The partner is employed within the U.S. by Starbucks or one of its U.S. subsidiaries, including Teavana, Evolution Fresh, La Boulange, Coffee House Holdings, and Seattle’s Best Coffee (collectively, “Starbucks” unless the context clearly indicates otherwise); 2. The partner is eligible for Starbucks benefits;

a) Prior to October 1, 2014, Teavana partners must be eligible for Teavana benefits; 3. The partner is not a recipient of a prior bachelor’s degree from a nationally-accredited or

regionally-accredited college or university; and

4. The partner has completed the required Program Application Process. Program Application Process

1. The partner submits an admissions application to ASU Online provided by ASU; 2. ASU accepts the partner into an online bachelor’s degree Program;

3. The partner submits a complete Free Application for Federal Student Aid (FAFSA) each school year, available at the ASU web site;

4. The partner completes all online Program application documents requested by Starbucks, including a signed acknowledgement form; and

5. Prior to starting classes, the partner completes the Program-specific preparation tutorial, ASU Orientation, available once enrolled through the partner’s ASU account.

Starbucks Benefits Eligibility

Additional information about Starbucks benefits eligibility is described in the U.S. Benefits Plan

Description, Eligibility and Enrollment chapter. A U.S. Benefits Plan Description is mailed to

partners when they enroll in a Starbucks benefits plan or program and it is available online at http://www.mysbuxben.com

Approved Leave of Absence

An Eligible Partner on an approved leave of absence may continue to participate in the Program so long as he or she continues to maintain Starbucks benefits eligibility. Prior to October 1, 2014, Teavana partners must maintain Teavana benefits eligibility.

Student Classification by ASU

The Eligible Partners’ student-level classification determines the CAP Scholarship amount and the eligibility for the CAP Reimbursement grant.

Freshman or Sophomore classification

For the purpose of this Program, Eligible Partners with fewer than 56 completed credit hours recognized by ASU (determined by ASU immediately prior to each semester’s registration) are considered ASU Freshman or Sophomore students.

Junior or Senior classification

For the purpose of this Program, Eligible Partners with 56 or more completed credit hours recognized by ASU (determined by ASU immediately prior to each semester’s registration) are considered ASU Junior or Senior students. Junior and Senior benefits CAP reimbursement tracking begin with the 57th credit hour.

Transition between student classifications

For the purpose of this Program, Eligible Partners who are classified by ASU as a Freshman or Sophomore student immediately prior to the semester’s registration and earn enough credits to be recognized by ASU as a Junior or Senior student at the end of the semester will be treated as a Junior or Senior student for any course enrollment above 56 credit hours.

For example, immediately before the semester’s registration, ASU determines the Eligible Partner has completed 54 credit hours and is classified as a

Sophomore student under the Program. The Eligible Partner registers for three courses with a total of nine credit hours for the semester. Two credit hours of the semester will be viewed as a Sophomore student under this Program and seven credit hours of the semester will be viewed as a Junior student under this

The CAP Scholarship

The CAP Scholarship is automatically applied to the Eligible Partner’s ASU account each semester.

Scholarship Eligibility

All Eligible Partners receive a CAP Scholarship under this Program as follows:  Freshmen and Sophomore students will receive a CAP Scholarship of

approximately $6,500 for two years of full-time study.

 Junior and Senior students will receive a CAP Scholarship and CAP Reimbursement of approximately $30,000 for two years of full-time study.

If a partner loses Starbucks benefits eligibility, he or she does not need to pay back any of their previous CAP Scholarship. A partner may regain eligibility under the Program when he or she again satisfies all eligibility requirements.

Scholarship Limitations

Subject to the Program’s amendment or termination, the CAP Scholarship will be limited as follows:

 Freshman and Sophomores have no life time maximum on their CAP Scholarships.  Juniors and Seniors can receive the CAP Scholarship for up to 75 paid credit hours.

Additional credits that a partner registers for after passing the 75 credit threshold will no longer be eligible for the CAP Scholarship.

Scholarship Adjustments

The CAP Scholarship amount will be updated in response to any changes in ASU tuition rates after the effective date of the Program to participate.

Separation and Rehire

If a partner separates from employment with Starbucks, the CAP Scholarship will apply to any classes in which an Eligible Partner is enrolled as of his or her separation date but not for any subsequent courses. If a partner is rehired by Starbucks, he or she must reestablish Program eligibility.

The CAP Reimbursement Grant

In general, the CAP Reimbursement grant is a periodic reimbursement of tuition costs, financial aid trust fees, technology fees, and coaching fees paid to ASU by Eligible Partners classified as Junior and Senior students.

Reimbursement Eligibility

Partners classified as Junior and Senior students will be eligible for a CAP Reimbursement grant under this Program. Partners classified as Freshman and Sophomore students are not eligible for CAP Reimbursement grant.

Reimbursement Milestones

Subject to Reimbursement Payment Conditions, CAP Reimbursement grants are paid out upon completion of milestones within an academic semester. A milestone is met each time an Eligible

Partner completes 21 credit hours while classified as a Junior or Senior. With the completion of a milestone, the Eligible Partner will receive a payment for Reimbursement Eligible Expenses (see below). Upon graduation and even if the total credits for the final milestone are fewer than 21 credits Eligible Partners will receive a final CAP Reimbursement grant for any

Reimbursement Eligible Expenses (explained below).

Credits which count toward a milestone must meet the following criteria:

 Credits will be reimbursable up to the amount billed to the Eligible Partner by ASU for those credits, net of any refund or adjustment;

 An Eligible Partner classified by ASU as a Junior or Senior student (including transition rules under this Program);

 The course was enrolled for the purpose of completing an ASU Online bachelor’s degree;

 The course was subject to tuition and fees by ASU including completed courses, Dropped courses (described below) and Failed courses (described below); and  The credits from the course were not previously utilized to complete a milestone. If a partner is separated from employment due to a total and permanent disability (see

Separation Due to Disability below) and even if the total credits accumulated are fewer than 21 credits; the Eligible Partner will receive a final CAP Reimbursement grant for any

Reimbursement Eligible Expenses (see below). Reimbursement Payment Conditions

An Eligible Partner must satisfy the following conditions to receive CAP Reimbursement grant payments, determined as of the date payment is made:

 The partner remains actively employed and

 The partner is in good academic standing at ASU. (Definition found at http://catalog.asu.edu/retention_standing)

If a partner loses Starbucks benefits eligibility, he or she is not required to repay any previously paid CAP Reimbursement grants. A partner may regain eligibility under the Program when he or she again satisfies all eligibility requirements.

Reimbursement Eligible Expenses

The CAP Reimbursement covers the following eligible expenses incurred by an Eligible Partner while classified by ASU as a Junior or Senior Student (“Reimbursement Eligible Expenses”): (1) ASU’s financial aid trust fee, technology fee, and coaching fee (“Fees”); and (2) net tuition (defined below) and evidenced by billing statements from ASU (“Net Tuition”).

In general, eligible expenses include Fees and Net Tuition for paid credits which satisfy the Reimbursement milestone; however, Net Tuition excludes any expenses incurred for credits which were completed prior to 18 months of the milestone completion date (see Expiration of Completed Credits below).For the paid credits which have not expired, the Net Tuition amount is determined as follows:

 Includes tuition net of the CAP Scholarship received at time of enrollment, any federal and military student aid, and any need-based financial aid from ASU. Such amounts will be stated in the Eligible Partner’s financial aid offer package from ASU; and

 Merit-based academic scholarships and private scholarships applied to tuition do not reduce the Reimbursement Eligible Expenses.

If a partner is separated from employment due to a total and permanent disability (see

Separation Due to Disability below), the calculation of Net Tuition will include paid credits which have not expired and any incomplete credits from the academic session during which the Partner’s employment with Starbucks was terminated due to a total and permanent disability. Except as specified above, no other expenses are eligible for the CAP Reimbursement under the Program or by Starbucks. Such ineligible expenses include but are not limited to: class fees; textbooks; meals, lodging or transportation expenses; student loan interest; late

registration fees; purchase of a personal computer or other general school supplies; expenses related to professional meetings, workshops, conventions, licensures, insurance costs, and preparation for tests; expenses related to graduate degrees or on-campus bachelor’s degree programs or classes; and individual courses for sports, recreation or hobbies, unless part of an approved online bachelor’s degree program at ASU. In no event, will any expense incurred by an Eligible Partner after his or her termination of employment for any reason qualify as a Reimbursement Eligible Expense.

Reimbursement Limitations

Subject to the Program’s amendment or termination, the CAP Reimbursement grant will be limited as follows:

 Lifetime maximum: CAP Reimbursement grants for up to 75 credit hours,

 No CAP Reimbursement will be paid on a pre-tax basis to an otherwise Eligible Partner who is considered an officer or highly compensated employee of Starbucks (or to an otherwise Eligible Partner who is the spouse or dependent of a Partner who is

considered an officer or highly compensated employee of Starbucks) if it would result in prohibited discrimination or exceed the benefit limitations, as provided under Treasury Regulation Sections 1.127-2(e) and (f).

Dropped and Withdrawn Courses

Starbucks will cover dropped or withdrawn courses for purposes of the CAP Reimbursement for the semester in which an Eligible Partner is enrolled and the Eligible Partner remains in

academic good standing with ASU. Dropped courses count towards the maximum number of credit hours covered under the Program. ASU’s definition of “academic good standing” is stated in its Retention and Academic standards - http://catalog.asu.edu/retention_standing

Failed Courses

Starbucks will cover failed courses for purposes of the CAP Reimbursement so long as an Eligible Partner remains in academic good standing with ASU. Failed courses count toward the maximum number of credit hours covered under the Program.

Expiration of Completed Credits

For the purpose of determining eligible expenses for reimbursement, completed credits expire 18 months after the last date of the semester in which the credit was completed. Net Tuition and Fees for completed credits that have expired are not eligible for reimbursement under the Program.

For the purpose of determining the completion of a CAP Reimbursement milestone, completed credits count for meeting the minimum threshold for reimbursement, but won’t be paid out if expired.

For example, an Eligible Partner classified by ASU as a Junior or Senior student and enrolled in three (3) credits in Fall B of the 2014-2015 academic year. The last day of Fall B is December 15, 2014. The three credits are set to expire 18 months later on June 15, 2016. If the Eligible Partner has not completed a milestone between December 15, 2014 and June 15, 2016, the three (3) credits completed on December 15, 2014 cannot be included in eligible expenses for a CAP Reimbursement grant payment. However, the same three (3) credits can be included to determine if a CAP Reimbursement milestone has been

completed.

Reimbursement Payment Timing

The CAP Reimbursement generally will be paid through payroll within three paychecks after reimbursement approval. Eligible Partners do not file any additional documents to receive their payment. The reimbursement is paid by Starbucks in the amount specified by ASU based on your tuition, fees and financial aid.

Separation and Rehire

If a partner separates from employment with Starbucks, he or she is not required to repay any previously paid CAP Reimbursement. If the partner’s separation occurs after a reimbursement has been approved but prior to payment, the payment will not be made.

If a partner is rehired by Starbucks, he or she must reestablish Program eligibility. Any credit hours previously completed prior to separation and rehire may be considered for the CAP Reimbursement grant provided all other requirements of the CAP Reimbursement are satisfied. Separation Due to Disability

If the partner’s employment ends due to total and permanent disability, the CAP Reimbursement payment conditions are waived for the final CAP Reimbursement Grant payment.

For the purposes of this Program, you are “totally and permanently disabled” if:

 You have a medically determinable physical or mental impairment that can be expected to result in death within 24 months or last for 24 continuous months or more

 You are incapable of continuing your usual and customary employment with Starbucks, and

 You are receiving income replacement benefits for a period of not less than three months from Starbucks or a participating company’s Long Term Disability plan (or if you are not eligible to participate in such plan, you are unable to engage in any substantial gainful activity by reason of such impairment).

The Program Administrator shall determine, at its discretion, whether a partner is totally and permanently disabled under the terms of the Program.

Taxation of CAP Reimbursement Grants

To the extent required by applicable law, the amount of any CAP Reimbursement grant will be included in an Eligible Partner’s ordinary income and subject to all applicable withholding taxes. Each CAP Reimbursement grant paid to an Eligible Partner must be evaluated to determine the amount that can be excluded from the Eligible Partner’s ordinary taxable income as a payment under the Starbucks Education Assistance Plan (described below). Starbucks may include the amount of any CAP Reimbursements in an Eligible Partner’s ordinary income if Starbucks reasonably determines that it is required by applicable law.

Education Assistance Plan Overview

In conjunction with this Program, Starbucks has developed an Education Assistance Plan (“The Plan”) pursuant to Section 127(b) of the Internal Revenue Code of 1986, as amended. Partners may request a copy of The Plan by sending a request to [email protected]. In the event of a conflict between this overview and The Plan, the written terms of The Plan will govern.

Under Code Section 127, an Eligible Partner may receive educational assistance on a tax-free basis, for federal payroll tax purposes, provided that the aggregate payments or

reimbursements do not exceed $5,250 per calendar year. Applicable state law may or may not be consistent with the exclusion provided under federal law. Highlights of The Plan are listed below.

1) Eligibility: The eligibility requirements under The Plan are consistent with eligibility requirement of this Program, including the Reimbursement Payment Conditions of the CAP Reimbursement.

2) Benefits: The benefit covered by the Education Assistance Plan is consistent with all Program rules related to the CAP Reimbursement with the following exceptions:

a. The Education Assistance Plan benefit is limited to $5,250 per calendar year. If the CAP Reimbursement payment(s) in a calendar year exceed $5,250, only the amount above $5,250 limitation will be excluded from the Education Assistance Plan benefit (see Taxable Reimbursements below).

b. The Education Assistance Plan benefit does not include any CAP

Reimbursement payment which includes a reimbursement for Merit-based academic scholarships and private scholarships.

c. Starbucks may include the amount of any CAP Reimbursement in an Eligible Partner’s ordinary income if necessary in the discretion of Starbucks to assure that the Program meets the requirements of Code Section 127.

3) Limitations: Limitations under the Education Assistance Plan are consistent with Reimbursement Limitations associated with the CAP Reimbursement.

4) Funding: Starbucks shall contribute the amount required to pay Benefits under The Plan out of the general assets of the Employer at the time such Benefits are to be paid. 5) Administration and Claims Procedure: The Administration and Claims Procedure of The

Taxable Reimbursements

The Eligible Partner shall be responsible for any income tax liability arising from any CAP

Reimbursement payment received under this Plan, whether or not the Starbucks withheld tax on those benefits.

With respect to any benefit provided by Starbucks that does not qualify for exclusion under section 127 of the Code (or under applicable state law), Starbucks will include the value of the benefit in the partner's wages, apply the appropriate payroll taxes (e.g., federal and state

income tax withholding, and FICA taxation), and report it as additional income on Form W-2 and the relevant state employee wage statement.

For example, an Eligible Partner reaches a credit milestone at the completion of the 2016 Spring Semester and has Reimbursement Eligible Expenses of

$6,250. The Eligible Partner will receive an CAP Reimbursement grant of $6,250, consisting of $5,250 that is not subject to Federal Income Tax, Social Security Tax, or Medicare Tax and $1,000 that is subject to those taxes. The Eligible Partner will receive a payment of $6,073.50 in his or her paycheck determined as follows:

Non-taxable CAP Reimbursement Grant: $5,250.00

Taxable CAP Reimbursement Grant: $1,000.00 less

Federal Income Tax Withholding (10% in this example) $100.00

Social Security Tax (6.2%) $62.00

Medicare Tax (1.45%) $14.50

Net Payment: $6,073.50

This example is based on current income tax withholding, Social Security Tax, and Medicare Tax rates and certain assumptions about the Eligible Partner’s income. The CAP Reimbursement payment received by an Eligible Partner may vary from the example based on the Eligible Partner’s Form W-4 Employee’s Withholding Allowance Certificate. State taxes may apply depending upon the Eligible Partner’s state of residence.

Program Administration

Administrator

The Program will be administered by Starbucks, acting through its Board of Directors or the Board’s delegate.

Administrator’s Authority

The Administrator will have sole authority, in its absolute discretion, to: manage and administer the Program, including the authority to delegate daily administrative functions; construe and

interpret the Program; define the terms used in this document; prescribe, amend, and rescind the rules and regulations relating to the Program; correct any defect, supply any omission, or reconcile any inconsistency in this document; approve or deny benefits under the Program; determine the individuals or class of individuals who are eligible to receive benefits under the Program; determine the times and terms under which benefits are provided under the Program; and make all other determinations and interpretations necessary and advisable for the

administration of the Program. All decisions, determinations, and interpretations made by the Administrator will be binding and conclusive on all partners and on their legal representatives, heirs, and beneficiaries.

Partner Notice

The Administrator will give reasonable notice of the availability and terms of the Program to Eligible Partners.

Program Records

The Administrator will keep accurate and complete records of all benefits paid to Eligible Partners under the Program.

Miscellaneous

Amendment and Termination

Starbucks may amend or terminate the Program at any time in its discretion. The Program will terminate automatically upon the termination of the definitive agreement between Starbucks and ASU with respect to ASU’s online bachelor’s degree Programs.

Nonduplication

Benefits under the Program cannot duplicate or be combined with another Starbucks tuition reimbursement Program, including Starbucks U, covering the same semester or period of time. Overpayment

Partners must repay Starbucks the full amount of any CAP Reimbursements overpayment, regardless of the reason for the overpayment. By accepting payment, any such partner authorizes Starbucks to withhold from other compensation due the partner, to the maximum extent permitted by applicable law.

Claims Procedures

If a partner believes eligibility for or benefits under the Program were denied inappropriately, he or she may request an appeal review for reconsideration. The appeal must:

 Be submitted to CAP Reimbursement Center in writing via mail or fax at 206-318-1393within 60 days of the date in which they were negatively affected: and

 Include appropriate supporting documentation

Partners will be sent a written letter of receipt for the appeal statement once received by the CAP Reimbursement Center. The Program administrator will provide the partner with a written notice of its decision within 60 days of the date it receives the appeal. If more time is needed to review the appeal, partners will be notified of the extension within the initial 60-day review period.

If the application or request denial is upheld, partners will be provided an explanation of the reason(s), as well as reference to the plan provisions on which the decision is based. The decision of the Program administrator is final and is not subject to further review or appeal. The appeal request must be submitted within 60 days of when the partner was negatively affected otherwise it will be withdrawn. A final decision will be mailed to the partner’s home address, generally within 60 days of receipt for review.

If employment with Starbucks is terminated, any open appeal will no longer be eligible for review.

No Contract

The Program will not be deemed to constitute a contract between Starbucks and any partner, or to be a consideration or an inducement for the employment of any partner. Nothing contained in this document shall be deemed to give any partner the right to be retained in the service of Starbucks or to interfere with the right of Starbucks to discharge any partner at any time regardless of the effect that such discharge shall have upon him or her under the Program. Governing Law

The Program will be construed and enforced according to the laws of the State of Washington, other than its laws respecting choice of law, to the extent not preempted by any federal law.
