GUIDALINES FOR APPLICATION FORMS

Binding Entity shall use the proper application forms made available by Enel, as specified below in the case of Single Companyor Temporary Associations of Companies (TAC).

Note: The application form/s must be filled-in without omitting any of the data required therein.

Single Company

In case the case of a single company, the Form No. 1 shall be duly filled-in, stamped and signed on each page, completed with all the required attachments.

Temporary Associations of Companies (TAC)

In the case of TAC (Temporary Associations of Companies):

for the Agent Company (group leader): the Form No. 2 shall be duly filled-in, stamped and signed on each page, completed with all the required attachments;

for each one of the Principal Companies (group partners): the Form No. 2bis shall be duly filled-in, stamped and signed on each page, completed with all the required attachments.

For information, in Annex 2 has been inclueded a draft of T.G.C. contract, which will be required by Enel in case of contract award.

In case the Consortium will not carry out directly (in full or in part) the works, a declaration concerning the list of both the companies of the Consortium appointed to carry out the works and the portions of the works assigned to each companies, shall be submitted. The declaration must include the commitment to fulfill, during the Bid process, the requirement of art. 37 of D.Lgs. n. 163/06.

A) that there are no grounds for conflict of interest, even potential, between the applicant and Enel Group companies, which might result from an investigation of the applicant's corporate composition showing that there are subjects holding top management position within the said Group companies and/or employed by the same companies (including their relatives up to the second degree), and/or having privileges or voting shares or trusts.

B) to be available to adhere to specific ethical-social obligations (eg. Measures that guarantee workers the respect of fundamental rights, the principles of equal treatment and non-discrimination, prohibition of child labor etc...) and accept inspections at its production facilities and offices in order to verify the fulfillment of these requirements.

10. To be in possession of the requirements of solvency, profitability and financial soundness related to the last 3 years compatible with the value of the work order and in particular with at least 3 of the following 5 conditions:

2. EBITDA/ Value of Production = EBITDA (c) / Value of Production (b) > 2% 3. LEVERAGE = Equity (d) / Total Assets (e) > 10%

4. TURNOVER = Value of Production (b) / Total Assets (e) > 0,6

5. Financial Expenses/ Value of Production = Financial Expenses (f) / Value of Production (b) < 4%

Article 2

The establishment of the Temporary Associations of Companies will entail the joint liability of the grouped Companies towards Enel Ingegneria e Ricerca S.p.A., as well as towards the subcontractors and suppliers, for all the obligations deriving from the provisions of the contract concerning the tender at issue and for those resulting from the carrying out of the concerned works.

Article 3

The mandate is free of charge and irrevocable. Its revocation, also for true and just cause, will, in any case, have no effect on Enel Ingegneria e Ricerca S.p.A..

Article 4

The Companies agree that in the event of bankruptcy of the Agent Company or, if an individual Company, in the event of death, debarment or disqualification of its owner, Enel Ingegneria e Ricerca S.p.A. will have the option of pursuing the contractual relationship with another Company of the same grouping, to be appointed as Agent and enjoying the approval of Enel Ingegneria e Innovazione S.p.A., or to withdraw from the contract according to the procedures that will be stipulated in the contract itself.

In the event of bankruptcy of one of the principal Companies or, if an individual Company, in the event of the death, debarment or disqualification of its owner, the Agent Company will be bound to carry out the works directly or through another of the principal Companies, subject to approval of Enel Ingegneria e Ricerca S.p.A..

Article 5

Starting from the moment this contract is notified to Enel Ingegneria e Ricerca S.p.A., Enel Ingegneria e Ricerca S.p.A. will be entitled to enforce all the clauses and options stipulated in favour of itself, without the need for any specific acceptance.

Starting from the same time, any amendment to this contract, will require the unanimous consent of the stipulating Companies and the prior approval of Enel Ingegneria e Innovazione S.p.A..

Article 6

This Temporary Associations of Companies will terminate automatically without the need for further formalities in the following cases:

a) when one of the cases of early termination of the contract concerning the tender at issue occurs;
