After the initial round of booth assignments are made on-site at
TRANS-ACT
SM14 for current exhibitors, booths will be assigned on a come,
first-served basis. All companies that exhibit in 2014 will accumulate points based
on ETA’s established points system; these points will be used to establish
prior-ity for future years’ space selection. Every effort is made to accommodate your
preferred booth location, but we cannot guarantee that you will receive one
of your preferred choices and ETA shall have sole discretion as to the

IV. COMPETITOR SEPARATION

every effort to accommodate your request, guarantees cannot be made
and ETA shall have sole discretion as to the placement of your booth. When
you request separation from another company, ETA will try to not put you
immediately adjacent to or across from the other company, but you might be
in the same aisle or general vicinity as that company. It is the sole responsibility
of the exhibitor to list companies from whom they wish to be separated. If

VII. AGREEMENT
I hereby apply for exhibit space at TRANSACT
SM15 and fully understand that
this form shall become a binding contract and is subject to the Exhibitor Rules
and Regulations as outlined in these materials and those established by ETA.
The exhibition is organized and managed by ETA. Any matters not covered in
the Rules and Regulations are subject to the interpretation of the ETA Board
of Directors and the ETA Chief Executive Officer or his or her designee, and
all exhibitors must abide by their decisions. Exhibitors must comply with all
Convention Center rules and regulations. Show Management shall have full
power to interpret, amend, and enforce these rules and regulations, provided
any applicable amendments, when made, are brought to the notice of exhibitors.
Each exhibitor, for itself and its employees, agrees to abide by the foregoing rules
and regulations and by any amendments or additions thereto in conformance
with preceding sentence. Exhibitor’s obligations hereunder are binding upon
the execution of this Agreement. No refunds, reductions in committed amounts,
or “carry overs” (to future events) will be available for any reason other than
as stated in paragraph 7 of the attached Rules and Regulations. If either party
takes legal action to enforce rights under this Agreement, the losing party to
such litigation shall be financially responsible for the expenses of the action for
both parties, including, but not limited to, court costs and attorneys’ fees. If ETA
receives your exhibit contract after February 28, 2015, your company will be
listed in the online exhibitor directory but will not be included in any printed
on-site materials.

1. Official Exhibit Schedule

2. Show Management
The exhibition is organized and managed by the Electronic Transactions Association (ETA). 3. Assignment of Booth Space

Booth registration for TRANSACT 15 must be made on the official TRANSACT 15 Exhibit Space Contract. The exhibitor fully understands that it becomes a binding contract and the exhibitor is subject to the terms and regulations set forth by ETA as listed therein. In addition, ETA reserves the right to reject an application that in its sole dis-cretion is not appropriate for TRANSACT 15.
4. Included in Booth Space

If an ex-hibitor cancels, downsizes, or does not utilize their contracted booth space, the compli-mentary booth personnel registration will be null and void and any registrations from that Exhibitor’s personnel are still valid and pay-ment for those registrations are immediately due and owing at the regular attendee rate. Booth carpeting, lighting, electric, Internet, phone, etc. are not included and must be purchased separately by the exhibitor unless specifically offered with a booth package.
5. Installation and Dismantle of Exhibits
Show Management reserves the right to fix the time for the installation of a booth prior to the Show opening and for its removal after the conclusion of the show. Under no circumstances will the addition to or removal of any portion of an exhibit be permitted during show hours. All booths must remain intact until the close of the show. Installa-tion and dismantle must occur only during the installation and dismantle times des-ignated in the Exhibitor Services Manual. Any material not called for by said time and date will be shipped at the exhibitor’s ex-pense, by a carrier selected by the official drayage contractor. No one under the age of 18 will be permitted on the exhibit floor during installation and dismantle hours.
6. Failure to Occupy Space
Space not occupied by the time desig-nated in the Exhibitor Services Manual will be forfeited by exhibitors and their space may be resold, reassigned or used by the exhibit management without refund.
7. Rates, Deposits and Refunds
Space will be rented at the rates listed on the official Exhibit Space Contract. To receive the ETA member rate, Exhibitor must be a current member of ETA or become an ETA member with fully paid dues within 10 business days of submitting this Contract. Exhibitor must remain an active member through 2015 to claim member status. ETA reserves the right to adjust pricing based on member-ship status. Cancellation or termination of membership will result in the recalculation of space fees at the non-member rate, and Exhibitor will be responsible for the result-ing invoice for space as well as for any paid exhibitor registrations. No application will be processed or space assigned without full payment in U.S. funds. A standard size booth will be 10’ x 10’ having an 8’ high back drap-ing and 3’ high side wall drapdrap-ing. A 7” x 44” booth sign bearing your company’s name and booth number will be provided. Booth carpeting, lighting, electric, internet, etc. are not included and must be purchased sepa-rately by the exhibitor. A full refund minus a $50 processing fee will be made if written notice of cancellation or downsize is received by ETA by October 2, 2014. A 50 percent re-fund of the booth fee will be made if written notice of cancellation or downsize is received October 3, 2014 through November 21, 2014. No refund will be made if notice of cancella-tion or downsize is received after November 21, 2014. No transfer of fees will be made to other registration fees or ETA meetings. In the event of a default by the exhibitor, as set forth in the previous sentence, the exhibitor shall forfeit as liquidated damages, the amount set forth above, regardless of whether or not the Show Management enters into a further lease for the space involved. In the event ETA cancels TRANSACT 15 due to fire, strike or other circumstances, full refund of the exhibit rental fees will be made which is the limit and extent of ETA ’s liability to exhibitor for such cancellation. ETA assumes no liability if a meeting is cancelled or abbreviated be-cause of terrorist activity. In no event will ETA provide any refunds of airline tickets, hotel
charges, or other charges incurred in connec-tion with exhibitor’s attendance of TRANSACT 15. All cancellation requests must be submit-ted in writing to the ETA Exhibits Manager.
8. Contractor Services
An official contractor will provide all services in the exhibit area. Complete information, instructions and schedule of prices regard-ing shippregard-ing, drayage, labor for installation and dismantling, electrical service, furniture, etc., will be included in the Exhibitor Services Manual to be forwarded from the official contractor in January 2015. Exhibitor will be responsible for all charges incurred by exhibi-tor for the official contracexhibi-tor’s services. An exhibitors’ service center will be maintained during applicable hours to facilitate services requested for additional needs of exhibi-tors. Under no circumstances will ETA or the Moscone Center assume responsibilities for charges incurred by exhibitor or loss or dam-age to goods consigned to the official con-tractor. Advance shipments of exhibit mate-rial must be made to the official contractor as specified in the Exhibitor Services Manual. ETA shall not be responsible for any ship-ments by exhibitor. Any shipship-ments not made as specified in the manual will be removed at exhibitor’s risk by the official contractor and stored until the hall is ready to accept mate-rials for the exhibition and all costs involved will be charged to the exhibiting company. Exhibitors are responsible for the information provided in the Exhibitor Services Manual.
9. Arrangement of Exhibits and Exhibit Standards
Any portion of an exhibit that obstructs the view, interferes with the privileges of other exhibitors, extends beyond the des-ignated booth space or for any reason becomes objectionable, must be immedi-ately modified or removed by the exhibitor. The show management reserves the right to inspect the quality of the appearance of each booth prior to show opening. Where necessary, masking drape will be placed to cover unsightly wires, unfinished backwalls, etc. at the exhibitor’s expense.
10. Booth Design
Each exhibitor will be provided with an offi-cial Exhibitor Services Manual, to be provided online in January 2015. The Exhibitor Services Manual describes the type and arrangement of exhibit space and the standard equipment provided by Show Management for booth construction. All booth space must be ar-ranged and constructed in accordance with the guidelines, provisions, and limitations contained in the Exhibitor Services Manual. In the sole opinion of ETA or Show Manage-ment, any exhibit that fails to conform to the Exhibitor Services Manual guidelines or the provisions set forth herein, such exhibit will be prohibited from functioning at any time during the exhibition. Each exhibitor is responsible for keeping the aisles near its exhibit space free of congestion caused by demonstrations or other promotions. All demonstrations or other promotional activi-ties must be confined to the limits of the ex-hibit space. Sufficient space must be provid-ed within the exhibit space for the comfort and safety of persons watching
demonstra-tions and other promotional activities. Linear booths may not exceed 8’ in height; island booths are restricted to 20’ in height. Exhib-iting companies are responsible for furnish-ing, carpeting and cleaning their booths. All exhibits must comply with the public ac-commodation provisions of the Americans with Disabilities Act of 1991 (ADA). Any ex-hibit with raised flooring must be ramped.
11. Subleasing of Space
Exhibitors may not assign, sublet or ap-portion to others the whole or any part of the space allocated, and may not display goods or services other than those manu-factured or regularly distributed by them.
12. Conduct
All exhibits will be to serve the interest of the ETA members and will be operated in a way that will not detract from other exhibits, the exhibition, or the meeting as a whole. ETA and the exhibit management reserves the right to request the immediate withdrawal of any exhibit that ETA believes in its sole dis-cretion to be injurious to the purpose of ETA. If an exhibitor is asked to remove an exhibit, or part thereof, and fails to do so promptly, ETA or Show Management may remove the exhibit or part thereof, at exhibitor’s sole ex-pense. ETA and Show Management will not be liable for any damage to any party for the removal, whether in whole or in part, or pro-hibition of the exhibit deemed unsuitable to the character or purpose of the exhibition. Management reserves the right to refuse to admit and eject from the exhibit building any objectionable or undesirable person or persons. The use of sideshow tactics or other undignified methods considered objection-able in ETA’s sole discretion are expressly prohibited in the exhibition area and in any meeting room. Appropriate business attire is required for all exhibit participants, including hired staff (i.e. booth models). All marketing and promotional activities are strictly limited to within the confines of your booth. The fol-lowing activities are completely prohibited, and any company engaging in any of the following activities may lose priority point/ booth selection privileges for future years: • Handing out flyers, giveaways, gifts or
marketing materials in the registration area, at the entrance to the exhibit hall, in the hotel lobby, hotel public space, con-vention center lobbies and public space, hotel/convention center restaurants/food courts, restrooms, exhibit hall meal or lounge areas, or ANYWHERE OTHER THAN INSIDE YOUR EXHIBIT BOOTH.
• Sending your company personnel or any hired staff (i.e. booth models) into the above areas to distribute materials or lure attendees to your booth.
• Leaving flyers or other marketing materi-als on chairs, tables, etc (other than for sponsored sessions with prior ETA ap-proval).
13. Exhibitor’s Personnel
All exhibitors must wear official ETA name badges and ribbons for exhibit hall admis-sion. Exhibitors will be admitted to the exhibit hall 30 minutes before show open-ing each day. All exhibitors and attendees will be required to leave the floor within 30

minutes after the show closes each day. Ex-hibitors needing to work during non-show hours must obtain prior written permission from ETA for entrance into exhibit hall. Each exhibit must be fully operational and staffed during the open exhibit hours as defined in the Exhibitor Services Manual. Booths should be manned by company specialists who are qualified to discuss details of their com-pany’s products or services. Distribution of advertising material and souvenirs must be confined to the exhibitor’s booth. Canvassing or distribution of advertising material or sou-venirs in the exhibit hall by representatives of non-exhibiting firms is strictly forbidden.
14. Selling of Merchandise
Selling of merchandise on the show floor is prohibited. However, orders may be taken for fulfillment at the exhibit-ing company’s main distribution center.
15. Sound Devices, Lighting and other Presentation Devices
Public address, sound-producing or ampli-fication devices that project sound must be kept at a conversational level and must not interfere with other exhibitors. Any form of attention-getting devices or presenta-tions must be terminated when crowds obstruct aisles or infringe upon another exhibitor’s display. ETA reserves the right in its sole discretion to restrict or prohibit the use of any objectionable device. Music, whether vocal or instrumental, is prohibited.
16. Handout Materials
Promotional give-aways and exhibitor prize raffles will be permitted as allowed by law. All materials and prizes must have prior written approval by ETA. All hand-out materials are expected to be of a profes-sional nature. ETA reserves the right to disallow any material that they believe to be inappropriate. Send samples to ETA Exhibits Manager, 512 Herndon Parkway, Suite D, Herndon, VA 20170 by February 28, 2015. No Helium balloons or adhesive-backed decals are to be used or given away.
17. Solicitation of Exhibitors
No persons will be permitted in the ex-hibit hall for the purpose of soliciting ad-vertising or other exhibit space without the express written permission of ETA.
18. Fire, Safety and Health
The exhibitor assumes all responsibility for compliance with local, city and state ordi-nances and regulations covering fire, safety and health. All exhibit equipment and ma-terials must be located within the booth. Only fireproof materials may be used in displays and the exhibitor must take all necessary fire precautions. No combustible, hazardous, or other dangerous material will be stored in or around exhibit booths.
19. Labor
Rules and regulations for union labor are made by the local unions and may change at any time and ETA has no control over such rules and regulations. Where union labor is required because of building or contractor requirements, it will be necessary for the exhibitor to comply with these regulations. Information regarding specific regulations that are applicable may be obtained from the official contractor. Displays, painters,
carpen-ters, electricians, and other skilled labor can be arranged through the official contractor at established rates. Labor order forms will be included in the Exhibitor Services Manual.
20. Storage
The exhibitor should make arrangements with the contracted decorator for storage of pack-ing boxes and crates durpack-ing the exhibition. ETA assumes no responsibility for damage or loss of packing boxes, crates, or their contents.
21. Food and Beverage
Exhibitor distribution of food and beverages for consumption in the building is prohibited, except with prior written permission from Show Management. All requests must be sub-mitted in writing prior to TRANSACT 15. If an exhibiting company wishes to host food and beverage in their booth, all food and bever-age must be purchased through The Moscone Center Exhibitor Services Department.
22. Liability and Security
ETA makes no warranty, expressed or im-plied, that security measures will avert or prevent occurrences that may result in loss or damage. Each exhibitor must make provi-sions for the safeguarding of his or her goods, materials, equipment and display at all times. ETA will not be liable for loss or damage to the property of exhibitors or their representa-tives or employees from theft, fire, accident or other causes. ETA will not be liable for in-jury to exhibitors or their employees or for damage to property in their custody, owned or controlled by them, which claims for dam-ages, injury, etc., may be incident to or arise from, or be in any way connected with their use or occupation of display space, and ex-hibitors will indemnify and hold harmless ETA against such claim. Exhibitor shall be fully re-sponsible to pay for any and all damages to property owned by The Moscone Center, its owners or managers, which results from any act or omission of Exhibitor. Exhibitor agrees to defend, indemnify and hold harmless the ETA and The Moscone Center, their owners, managers, officers or directors, agents, em-ployees, subsidiaries and affiliates from any damages or charges resulting from or aris-ing from or out of the Exhibitor’s use of the property. Exhibitor’s liability shall include all losses, costs, damages or expenses arising from or out of or by reason of any accident or bodily injury or other occurrences to any person or persons, including the Exhibitor, its agents, employees, and business invitees which arise from or out of Exhibitor’s oc-cupancy and/or use of the exhibition prem-ises, The Moscone Center or any part thereof. The Exhibitor understands that ETA and the Moscone Center do not maintain insurance covering the Exhibitor’s property and that it is the sole responsibility of the Exhibitor to obtain such insurance. The exhibitor assumes all liability for any damage to the facility’s floor, walls, lighting fixtures, etc. as a result of exhibitor negligence. The exhibitor will abide by and observe all laws, rules, regulations and ordinances of any governmental authority and of the contracted facility. The exhibitor will pay and save ETA, its Board, members, staff, and representatives, the city of San Francisco, and The Moscone Center harmless from any and all damages, loss or liability of any kind whatsoever resulting from injuries to persons or property occurring within The
Moscone Center or property adjacent thereto occasioned by any act, neglect or wrongdo-ing of the exhibitor or any of its officers, agents, representatives, guests or employees, invitees or other persons permitted by the exhibitor upon the premises, and the exhibi-tor will at its own cost and expense defend and protect ETA, the city of San Francisco and The Moscone Center against any and all such claims or demands. Each exhibitor shall be responsible for securing and maintaining the following insurance coverages at the exhibi-tor’s expense: (a) Workman’s compensation insurance coverage for exhibitor’s employees which shall be in compliance with the laws of the State of California; (b) Commercial gen-eral liability insurance with policy limits of $1,000,000 for combined single limit cover-age to include: comprehensive form, prem-ises/operations, contractual, broad form property damage and products/completed operations, providing for terms of coverage to be effective from on or before March 29, 2015 through and including April 3, 2015, which shall include exhibitor’s move in and move out. Such insurance shall include ETA, its officers, directors and agents and The Moscone Center as additional insureds. Such insurance shall cover any and all damage or injury to any and all persons arising out of such person’s attendance at the exhibitor’s exhibit during the term of TRANSACT 15; (c) Other Insurance: Each exhibitor acknowl-edges that it is responsible for obtaining and maintaining any additional insurance coverage solely at its own expense, in such amounts as it deems appropriate to comply with its obligations hereunder and for its own protection. Exhibitor will immediately notify ETA in the event of any changes to insurance coverage required under this Agreement.
23. Trademarks
ETA will be held harmless for any trademark, tradename, copyright or patent infringement on any printed materials belonging to or dis-tributed by any exhibitor. Use of ETA, TRANS-ACT or The Moscone Center logo, design, trademark, tradename, patent, copyrighted work or symbol must be approved in writ-ing by the party’s marketwrit-ing department.
24. Photographing of Exhibits
Each exhibitor has control over the space it has rented and may prevent those consid-ered its competitors from gaining access to or photographing its exhibit. The taking of pictures, other than by the official pho-tographer, is expressly prohibited during setup, dismantling and non-exhibit hours, and cameras will not be allowed on the exhibit floor during these times. Only the exhibitor may grant permission to have its exhibit photographed, or an audio presen-tation taped, during exhibit hours. No ex-hibitor shall deny any reasonable request for permission to photograph the exhibit from outside the perimeter of the booth.
25. List Publication
The list of ETA exhibitors, in whole or in part, shall not be published other than by ETA in ETA and TRANSACT official publications.
26. Convention Center and Hotel Use
All ETA reserved public function space in The Moscone Center and the official hotels is con-trolled by ETA and The Moscone Center. No
reserved function space will be released to exhibiting firms or to other commercial firms for social functions without the permission of Show Management. Good taste and con-formity to the purposes of the meeting, as determined in ETA’s sole discretion, must vail. Showing of equipment or product pre-sentations to registered members or guests of ETA by exhibiting firms is strictly limited to the exhibitor’s booth during the stated hours (see Rule 1) and exhibition in any other areas is expressly prohibited. Exhibitors may not use the official hotels or Convention Center(s) to distribute literature, gifts, etc. to attend-ees without the written permission of ETA.
27. Violations
Violation of any of these Rules and Regula-tions by the exhibitor or his or her employees or agents shall at the option of ETA forfeit the exhibitor’s right to occupy space and such exhibitor shall forfeit to ETA all monies paid or due. Upon evidence of violation, ETA may take possession of the space occupied by the exhibitor, and may remove all persons and goods at the exhibitor’s risk. The exhibitor shall pay all expenses and damages that ETA may incur thereby. Show Management may also, at its discretion, deduct all or part of the priority points used to assign future booth space for violation of any of the show rules.
28. Severability
All agreements and covenants contained herein are severable, and in the event any of them shall be held to be invalid by any competent court, this agreement shall be interpreted as if such invalid agreements or covenants were not contained herein.
29. ETA Payment Policies
All monies owed ETA must accompany signed contract. Payment may be made by credit card or check. Return check fee is $50. All checks returned to ETA for any reason must be made good by certified check for the original amount, plus all fees. Companies must be in good standing with ETA in order to exhibit or spon-sor during meetings. Companies in good standing meet ALL of the following: • Are current on all open business dealings
with ETA.
• Do not have open invoices aged beyond 60 days from date contract was received through actual meeting dates. • Do not have unresolved accounting
issues with ETA open invoices aged beyond 60 days.
Any funds submitted from companies in vio-lation of the good standing policy may be ap-plied to prior financial obligations not satisfied by the company. The same holds for compa-nies that violate the good standing policy after contracting with ETA for a future event.
