NOTICE INVITING EXPRESSION OF INTEREST FOR FORMING AN ALLIANCE WITH COMPANY OWNING AND OPERATING AND EXPERIENCED IN CONVERTING / BUILDING FPSO.
1.0 Background
1.1 The Shipping Corporation of India Ltd (SCI) a “Navratna” Public Sector Company, is the biggest Indian shipping company owning and operating a diversified fleet of 81 vessels of about 5.82 million dwt. SCI has presence in almost all the areas of shipping like tankers, dry bulk carriers, cellular container vessels, specialized vessels, offshore vessels, passenger vessels etc. SCI over five decades has built its financial capabilities strength by strength and has developed an excellent reputation in International shipping fraternity. The turnover of SCI during the financial year 2010 - 11 was Rs. 3,543.42 crores and the profit after tax was Rs. 567.35 crores. The net-worth of SCI at the end of the financial year 2011 was Rs 7,168.13 crores.
1.2 Oil and Natural Gas Corporation Ltd. (ONGC) is currently producing oil and gas from its offshore oil and gas fields off the West Coast of India. The company intends to further develop several marginal fields located in Western Offshore areas including B-192, B-45, and WO-24, collectively called Cluster-7. ONGC intends to develop the Cluster-7 fields and process the total production through a hired FPSO. Operation and Maintenance (O&M) of the FPSO shall be the responsibility of the selected FPSO contractor.
1.3 On 14.10.2011, ONGC has floated a tender for charter hire of FPSO for cluster – 7 Marginal Fields. As per the tender, ONGC envisages installation of four new unmanned wellhead platforms, drilling of 20 wells, laying of interconnecting pipelines, subsea manifolds etc. The produced fluids will be processed on the FPSO. The crude oil will be offloaded to a shuttle tanker for onward transportation to the refinery, and gas will be compressed for use in gas lift operations and export to existing platforms.
1.4 SCI is an active player in Indian offshore logistics segment and has been successfully providing various services in offshore segment. SCI and ONGC have been sharing a cordial business relationship over two decades. SCI’s 10 Offshore Vessels (OSVs) have been on long term charter with ONGC since 1984. Further, a brand new Anchor handling, Towing and Supply Vessel (AHTSV) which was recently added in SCI’s fleet too has been deployed on charter with ONGC. SCI also manages a diversified fleet of 19 vessels owned by ONGC, which include multi support vessels, diving support vessels, well stimulation vessels, seismic survey vessel and offshore vessels. SCI has successfully bided in the ONGC’s tenders and is well versed with the ONGC’s offshore operations.
1.5 SCI as per its overall growth strategy has planned to diversify into various marine related areas and has identified offshore as one of the key area for expansion and diversification. Accordingly, SCI is keen to enter into high potential FPSO business and wishes to participate in the aforesaid tender of ONGC for charter hire of FPSO.
1.6 SCI strength lies in the strong relationship it shares with large E&P companies in India like ONGC. Further, SCI has a fleet of tankers, few of which may be considered for conversion into FPSO as per project specific requirements. The technical expertise of SCI spread into the lighterage operations too in India. SCI’s is a pioneer in the field of ship to ship lighterage operations in India and is involved in the operations on the coast of India since 1975. These operations have become the backbone of crude oil transportation and supplies to Indian refineries.
1.7 The above core strengths of SCI needs to be collaborated with a reputed companies having elaborate experience in O&M of FPSO and building / converting vessels into FPSOs. Accordingly, SCI seek to form an alliance with companies owning and operating and having experience in converting/ building FPSO.
2.0 Objective and Roadmap
2.1 The objective of forming the Alliance is to incorporate a global entity having inherent strengths for providing complete solution in the deep sea E&P segment.
2.2 Based on the response received for the EOI and subsequent evaluation undertaken, SCI proposes to choose a partner(s) for participating in the ONGC’s tender for charter hire of FPSO.
2.3 A Memorandum of Understanding (MOU) shall be signed between SCI and the proposed partner(s) for formation of a consortium, which will participate in ONGC’s tender. The MOU shall clearly indicate the roles and responsibilities of each partner.
2.4 The proposed consortium shall participate in the latest tender of ONGC for charter hire of a FPSO and endeavour its best to be successful in the opportunities arising for FPSOs. 2.5 The proposed consortium will undertake preparation of a detailed business plan which
shall inter alia include following:
i. Details of the FPSO project, like tenure of the projects, expected charter rates, project expenditures etc
ii. Projected financial statements for tenure of proposed business.
iii. Details of estimated cost for refurbishment / modifications, special survey and dry docking (if any), this shall state item wise break up of equipments required and cost of the same.
iv. Breakup of per day operating cost (OPEX) and administration expenses. v. Projected returns to the promoters of the proposed JVC.
vi. Mode of raising finance for the project.
3.0 Proposed equity participation of SCI
3.1 The proposed equity participation of SCI in the strategic alliance / JVC will be in range of 26% to 50%.
3.2 Balance equity shall be held by the Applicants.
4.0 Who can Participate
4.1 The Applicants having, inter alia, following experiences may participate in the EOI:
ii. The company(s) having experience of O&M of FPSO for at least 5 years.
iii. The company(s) having experience of converting / building FPSO as per the project
requirement.
iv. The company(s) having experience in design, engineering of subsea facilities related to
FPSO or FPUs.
v. The company(s) having offshore installation experience, which include installation of
subsea facilities and diving work.
5.0 What to submit
5.1 All the Applicants have to submit the details of company as per Annex- I.
5.2 In case of consortium, each partner of the consortium shall submit information as per
Annex – I.
6.0 How to submit
6.1 Interested parties may visit SCI website www.shipindia.com. The document will be
available for download from 24.10.2011 (1200 hrs IST).
6.2 A pre-bid conference will be held on 01.011.2011 at 1130 hours IST in 5th floor
conference room of “Shipping House”, 245, Madam Cama Road, Nariman point, Mumbai – 400 021.
6.3 The interested parties may submit their proposal including various modalities/ operations required for the project along with the details required to be furnished as stated in the aforesaid document in sealed cover super-scribing “NOTICE INVITING EXPRESSION OF
INTEREST FOR FORMING AN ALLIANCE WITH COMPANY OWNING AND OPERATING AND EXPERIENCED IN CONVERTING / BUILDING FPSO.”

6.5 The last date for responding to EOI is 09.11.2011 by 1500 hours IST. The responses
received shall be opened at 1530 hours IST.
6.6 The process of inviting EOI is for ascertaining various options available to SCI. After evaluation / examination of the offers, SCI may at its sole discretion decide further course of action.
6.7 SCI reserves the right to deal with the proposal in any manner without assigning any reason for the same. The decision of SCI in this regard shall be final.
