This Program Description is provided pursuant to the Testing and Adoption Programs Framework Agreement or the TAP Framework Participation Agreement (each, the “agreement”). By taking part in this program, Company (and/or qualifying Company affiliate) agrees that its participation is subject to the terms and conditions of the agreement. If any terms below contradict or supplement the terms of the applicable agreement or the program description originally provided to you, the terms below will control with respect to this particular program. Note to qualifying affiliates: Company and Microsoft must have separately granted you permission to

participate under the agreement. If your parent or other affiliated Company hasn’t provided you with a copy of the agreement, prior to participating please contact the program’s sponsoring group identified below or your account team to secure a copy.

The CRM5 EAP is a TAP-PV program in which potential CRM ‘5’ Customers commit to working with a Partner or MCS representative and CRM Product Team resources to plan, design, develop, test, and implement CRM ‘5’ solutions in production prior to CRM ‘5’ RTW in case of online customers and RTM in the case of hosted and on-premise customers. The primary goals of the CRM5 EAP include validating product quality by augmenting and enabling Test, including feature coverage mapping, collateral gathering, and testing via actual pre-RTM/RTW production customer deployments.

Benefits to Companies participating in the CRM5 EAP include:

 Building competitive advantage by using new features before release

 Direct exposure to and support from the CRM product group and extended team

 Early access to code and product documentation

 Knowledge acquisition before wide availability (training events , Webcasts, training documentation)

 An opportunity to influence quality of the product

EQUIREMENTS Resources

Company and its designated CRM5 EAP resources are required to:

 Participate in weekly conference calls and web-casts. Primary resources need to be available for discussions (conference calls, webcasts, etc.) during standard Redmond (Pacific Time) business hours.

 Regularly install/use pre-release builds in a timely manner to generate feedback for the Product Team. o Exercise key usage scenarios/capabilities

o Ensure time is planned for dedicated testing effort

o Validate key scenarios for customer (existing/new business processes utilizing new functionality)

 Use pre-release builds of CRM ‘5’ to design and develop the business solution.

 Provide on-going written and verbal feedback to Product Team contacts based on experiences with pre-release builds and queries from Product Team members.

 Perform all planning, design, development, and testing that is required to ensure that the solution is deployed in a production environment during the Beta release milestone.

 Deploy a pre-release version of CRM ‘5’ in production prior to RTM/RTW.

IMPORTANT: At program start, all Participants will be supported by a variety of Microsoft resources, as is called out in the Microsoft Commitments section of this document. Thereafter, on a monthly basis, the EAP Program Management team (EAP PM) will evaluate the project progress and level of participation of each Company. To ensure an adequate level of support for Companies that show the greatest potential for going into Production by or before RTM/RTW, EAP PM may, based on the results of these monthly evaluations, change a Company’s participation status to Limited. Limited participants will not have the support of a Microsoft Buddy Team, relying instead on primary communications via MS Connect and participation in the associated Newsgroups.

To maximize the benefits of this program and to evaluate Company’s readiness to properly run, test, and evaluate the CRM software, EAP PM requests that Company provide the following lists and plans.

Testing and Deployment:

The CRM Product Team will be relying on the EAP participant feedback to ensure that the new features and changes in CRM ‘5’ meet internal quality and functionality requirements. To that end, Company is requested to secure the requisite infrastructure for testing/developing the builds throughout the EAP program.

Microsoft may on occasion require access to the test/development environment to view traces and other information that may assist in troubleshooting an issue.

NOTE: Dedicated test hardware/infrastructure applies to On-Premises customers only (Online customers will utilize Online deployment).

In addition to obtaining product feedback, creating “customer evidence” is an extremely important aspect of the CRM EAP. Company is asked to participate in helping Microsoft create supporting evidence in the form of compelling quotes, press releases, and case studies, and to participate in various launch activities. The goal of compiling this evidence is to create excitement and momentum around the product launch and to position Company as a leader in promoting customer satisfaction.

Upon the official kick-off of the CRM5 EAP, Company assigned resources are required to participate in a CRM ‘5’ training event, weekly status meetings, and conference calls and to provide feedback.

Resources:

Microsoft will allocate the following resources on a remote part-time basis to help ensure the effective program management, communication, accountability, and integrity of the program so that Company has a positive experience during the CRM5 EAP. Specifically, the buddy’s will attend the weekly calls remotely and participate in the triage and support of their assigned customer’s issues while in the program. This requires that the customer utilize Microsoft Connect to submit all requests to the buddy’s via the feedback form. NOTE: In addition to the resources listed below, Microsoft will assign a portion of an EAP PM resource to Company as EAP Sponsor. The EAP Sponsor will also attend the weekly calls remotely and assist the buddies in triage. The TAP sponsor is also available to respond to any EAP specific escalations.

Software Testing & Deployment Support

Microsoft will provide the following technical and support services to assist Company’s internal project team.

At Microsoft, we are committed to protecting your privacy and privacy of your customers and third parties. “Personal Information” or “PII” means any information that can be used to identify, contact, or locate a person. PII includes a person’s name, address, e-mail address, phone number, fax number, financial

information, account numbers, and government-issued ID numbers. PII also includes information associated or combined with PII (such as a personal profile, unique identifier, biometric information, or IP address). The following items apply to the Privacy of those individuals whose names or information may appear in an AX database being upgraded as part of this program.

Partner confirms they have current consent to access customer’s databases. Required Partner will not transmit any databases containing personally identifiable

information of their customers and/or of 3rd parties to Microsoft within the context of this program.

ONDITIONS Feedback

If your agreement does not already contain a feedback provision then, for this program only, the following will apply:

Providing suggestions, comments, feedback, ideas, or know-how, in any form (“feedback”) is voluntary. If Company or any Company affiliate (“feedback provider”) provides feedback to Microsoft, then the feedback provider grants to Microsoft, without charge, the non-exclusive license under feedback provider’s owned or controlled intellectual property rights, to make, use, modify, distribute, grant copyright and trade secret sublicense rights to, and otherwise commercialize such feedback as part of any Microsoft offering (as defined below). The license granted to feedback provided hereunder shall survive termination of the agreement or any program.

 “Microsoft offering(s)” means any Microsoft product, technology, service or any of their components and includes:

o Pre-release and commercially released versions of any Microsoft offerings (whether released for a fee or otherwise); and

o Documentation, specification or other proposal for any Microsoft offerings.

 “Intellectual property rights” means all intellectual property and proprietary rights, such as patents, trade secrets and copyrights.

Subject only to the express licenses granted in this agreement, the feedback provider:

 Retains all right, title and interest in and to the feedback;

 Reserves all rights not expressly granted; and

 Limits the licenses granted under this agreement to licenses under the feedback provider’s owned or controlled intellectual property rights in the feedback. These licenses do not extend to any technologies that may also be necessary to make or use any offering or portion thereof that incorporates the

feedback, but are not themselves expressly part of the feedback (e.g., enabling technologies). Feedback is not confidential even if designated as confidential by the feedback provider.

The feedback provider represents that it will not give any feedback that:

 Violates any copyright or trade secret claim or right of any third party;

 It has reason to believe violates any patent claim or right of any third party; or

 Is subject to an excluded license. An “excluded license” is any license requiring, as a condition of the use, modification and/or distribution of software subject to the license, that the software and/or other software combined and/or distributed with the software be:

o Disclosed or distributed in source code form, and is either;

 Licensed for the purpose of making derivative works; or  Redistributable at no charge.

Production Use Grant

Notwithstanding the provisions of the license agreement for pre-release software which accompanies the Microsoft pre-release software provided to the Company under this Program (the “pre-release software”) and notwithstanding the order of precedence provisions of the agreement, the Company, at its sole discretion, may install and use the pre-release software in a live production environment, solely for Company’s internal use and as part of Company’s participation in this Program, provided:

(a) Microsoft has previously notified you in writing that you may begin such use of the pre-release software; and

(b) Company agrees to cease such use immediately upon notice from Microsoft.

Company acknowledges that the pre-release software may not perform as reliably as commercially released software, and may contain bugs or other errors that could cause the pre-release software, any system it runs on, and any applications running on it to malfunction or experience impaired performance. Company agrees to take adequate precautionary measures to back-up and protect all data and otherwise prevent any harm greater than Company is willing to bear resulting from any failure of the pre-release software. Company hereby acknowledges and agrees that to the greatest extent permitted by law Company assumes the risk of and is fully responsible for any and all harm that may result from use of the pre-release software in a live production environment.

In the event that Microsoft provides bug fixes or updates to the pre-release software, or provides an updated version of the release software to Company, Company agrees to install the update and replace the pre-release software with the updated version as directed by Microsoft.

On the thirtieth (30th) day after commercial release, all rights to use the pre-release software shall cease. If Company desires to use the commercially released version (if available), Company will need to upgrade to, and acquire the appropriate licenses for, such commercially released version.

Company agrees not to make any representation, warranty, or promise on behalf of Microsoft or with respect to the software or its performance.

Company agrees, at its own expense and Microsoft’s request, to defend any claim or action brought by a third party against Microsoft, or Microsoft’s affiliates, subsidiaries, directors, officers, employees, agents or

independent contractors, to the extent it is based upon a claim concerning its use of the software in a live operating environment (all such claims or actions being collectively referred to hereinafter as “Claims”), and Company will indemnify and hold harmless Microsoft from and against any costs, damages and fees reasonably incurred by Microsoft, including but not limited to fees of attorneys and other professionals, that are

attributable to any Claims. Microsoft will: (a) provide the Company reasonably prompt notice in writing of any Claims and permit the Company, through counsel chosen by the Company, to answer and defend such Claims; and (b) provide the entity defending such claim information, assistance and authority, at Company’s expense, to help defend such Claims. Company will not be responsible for any settlement made by Microsoft without the Company’s written permission, which permission will not be unreasonably withheld, delayed or

conditioned. Company will consult with Microsoft on the choice of any counsel under this Section. Company may not settle any Claims on Microsoft’s behalf without first obtaining Microsoft’s written permission, which permission will not be unreasonably withheld, delayed or conditioned. In the event Company and Microsoft agree to settle any Claims, neither party will disclose the terms of such settlement without first obtaining the other party’s written permission.

Other Relationships

Consultants, contractors, and advisors - Company may use consultants, contractors, advisors to assist Company in connection with this program’s activities so long as Company has entered into agreements with them that are at least as protective of Microsoft’s rights as in the agreement and this program description.
